the appointment of Major General Francis P. Koisch as Chairman of the
Red River Compact Commission.
Please have your office contact Greg Lebedev's office to let us know of
your opinion of the proposed action in order that we may accurately
represent your view in the final decision memorandum. As we wish to
act on this matter as expediously as possible, we would very much
appreciate a reply by Tuesday, November 5, 1974. If we have not heard
from your office by that time, we will assume that you have no comment
and go forward with the memorandum. Your observations and assistance

Personal Data Statement
As part of the clearance procedures relating to your proposed appoint-
ment, it is requested that you answer the following questions and
supply the following information to us on a confidential basis. Please
note that federal law and regulations governing conflicts of interest
require the disclosure of the information requested in questions 1-5,
inclusive, as it pertains to you, your spouse and any relatives living
in your immediate household. In addition, you are requested to supply
any information you deem to be relevant with regard to your spouse or
such relatives when responding to any of the other questions.
In order that we might complete all necessary reviews as soon as possible, it
is requested that you supply this information at your very earliest convenience.
If you have any questions or if this office can be of assistance, please
do not hesitate to contact me.
1. The names of all corporations, firms, or other
business enterprises, partnerships, nonprofit
organizations, and educational or other institutions
with which you are now or have ever been in the past
connected as an officer, owner, director, trustee,

(Please note that in the case of an attorney's client

This memorandum seeks your approval of Wilmer Richard Hall of Tennessee
and Army Major General Francis Paul Koisch for appointment as Members
of the subject Commission vice Frederic H. Kellog and Major General
Charles C. Noble respectively.
The Mississippi River Commission was established by an Act of June 28, 1897
(21 Stat. 37) to direct studies and plan activities which will correct and deepen
the channel and protect the banks of the Mississippi River, as well as
improve navigation, prevent flooding, and pron ote commercial trade.
It consists of seven Members who are appointed by The President with the
consent of the Senate for terms of nine years. The law requires that one of
the Members represent the National Oceanic and Atmospheric Administration,
three represent the Army Corps of Engineers, and three be from civilian
life with two of the three being professional er gineers. The legislation and
membership are attached at Tab A.
Mr. Kellog has been serving on the Commissic n in the capacity of a civilian
professional engineer. He retired from the professional practice of
engineering on July 31 and therefore has resign ed from the Commission.
Major General No ble has been serving as a representative of the Army Corps

of Engineers and will be retiring on September 1, 1974, and resigning from the
Commission effective that date.
My recommendations to replace Mr. Kellog and Major General Noble are as
follows:
WILMER RICHARD HALL (VICE FREDERIC H. KELLOG)
Mr. Hall is a civil engineering graduate of the University of Mississippi and
is licensed to practice in almost all of the southern states. His twenty-year
practice of engineering has involved appreciable river, drainage, and flood
control experience, and he is generally thought to be the kind of unbiased
expert that would be an asset to the Commission. Mr. Hall is a Republican
and is enthusiastically recommended by Senator John C. Stennis, Chairman
of the Senate Committee on Armed Services, Rep. Ed Jones (D- Tenn), 1st
Vice President of the Lower Mississippi Valley Flood Control Association,
Rep. Robin Beard (R- Tenn), Rep. Frank A. Stubblefield (D-Ky), and
Governor Winfield Dunn of Tennessee who points out that Kellog was the only
Member of the Commission from Tennessee and that Hall's candidacy is
also supported by the conservation groups throughout Tennessee. Mr. Hall's
resume is attached at Tab B. The Defense Department also concurs with
this recommendation.

CHARLES C. NOBLE
Major General Koisch is a U.S. Army engineer currently serving in Europe
with the Seventh Ariny, and is the Army Corps of Engineers' recommendation
to succeed Major General Noble. Koisch is a career army engineer and is
unregistered politically; however, the RNC has no objection to his appointment.
Major General Koisch's resume is attached at Tab C.

of Engineers Members of the Commission. Major General Noble is currently
serving as President, and I recommend that Major General Koisch succeed

I have reviewed the attached memo from Wimer dated August 23,
1974, and recommend your approval of the proposed action by
writing "Approved" on the bottom of the face of the cover memo,
adding your initials, and returning it and the attachments to Wimer.
The background of each candidate conforms to the statutory require-
ments set forth in 33 USC 642. I know of no reason to object to
either of these candidates and am assuming that you do not.
If you had some reason for objecting to either of these candidates
you could make your position known by memorandum or telephone,
and the attached Memorandum for the President would be modified
to incorporate your objections.
I would not bother to keep copies of this kind of memo which you
will get regularly from Wimer. The personnel office keeps them
all in case they might be needed at some future date for reference.

Attached is a letter from Willis H. Ware of the Rand
Corporation, expressing some thoughts about appointments
to be made to this Commission.
I think he has made a valid point that the data processing
people should be represented. Also, as you may remember,
Vice President Ford made a major address on the right of
privacy to the national meeting of the American Federation
of Information Processing Societies in Chicago during the
month of May 1974. At that time he assured the groups
involved in that convention that he was concerned to have their
strong interest in the right of privacy reflected within the
Federal government on all matters substantially affecting
informational privacy. Certainly the use of electronic fund
transfer systems would have such an effect.

After an extensive search for the most qualified candidate available, Secre-
tary Claude Brinegar, DOT, requests your approval of his appointment of
Dr. Noel C. Bufe (Resume, Tab A) as the Deputy Administrator, National
Highway Traffic Safety Administration, DOT (Legislation, Tab B).
The National Highway Traffic Safety Administration was established in 1970
to carry out programs relating to the safety performance of motor vehicles
and related equipment, and motor vehicle drivers.
Dr. Bufe, 40, Republican, has served as Executive Director of the Office
of Highway Safety Planning, Michigan State Police since September, 1967.
In this position he is the Governor's Highway Safety Representative. Bufe
also has served as Executive Secretary of the Michigan State Police Train-
ing Council (1966 - 1967) and as a management consultant to the Interna-
tional Association of Chiefs of Police (1964 - 1966). Bufe's prior exper-
ience includes extensive work associated with police administration or as
an investigator. Bufe received his Ph. D. from Michigan State University
in Highway Safety Management.
Based on Dr. Bufe's educational background and experience in the field of
highway traffic safety; the extensive search of available candidates by DOT

that led to the selection of Dr. Bufe; and because of Secretary Brinegar's
strong endorsement and recommendation of Dr. Bufe, I recommend you

Dear Mr. Buchen:
We exchanged correspondence early in October relative to my appointment
by the President as a member of the U.S. Delegation to the 18th General Con-
ference of UNESCO. I am therefore taking the liberty of addressing this
letter on another matter to you rather than to President Ford. I respect and
appreciate the grueling schedule you both follow, and I am sorry to take your
time.
In my capacity as President of the Association of Medical School Micro-
biology Chairmen I am concerned about the appointment of a new Director of the
National Institutes of Health (NIH). I am sure I speak for other members of
the Association even though I have not canvassed their opinions. All my
colleagues in the Association are active in teaching medical students and other
health personnel in this country, and most are active in highly important
research that is of great significance to the health and welfare of our nation.
Furthermore, most of us have served on committees in one or more Institutes at
the NIH. Thus we have some understanding of what this great and unique
institution means to the United States.
I hope you will urge President Ford to consider the following in appointing
a new Director of the National Institutes of Health:
1) Select a person who is highly respected and regarded by both basic and
clinical scientists, and who has had teaching, research, and administrative
experience.
2) Insure some stability in the position by making the appointment for a
designated term. An institution as important and complex as the National Institutes
of Health cannot operate as it should with rapid turnover in the directorship.
3) Reduce to a minimum the politicization of policies at the Institutes, and
allow the Director more freedom in making decisions.

According to news media reports, Professor Charles J. Morris
of Southern Methodist University is one of the "finalists" for
the chairmanship of the National Labor Relations Board.
I have known Charles Morris for ten years; and have worked
with him on several projects. I write to state that the labor-
management community and the nation will be well served by his
appointment as NLRB chairman.
Charlie Morris was an active practitioner in labor law until
he accepted a professorship at the SMU law school six or seven
years ago. He has a thorough knowledge of labor law and labor
relations, a combined practical and scholarly approach to issues,
and that public relations "plus" which is so necessary for the
chairman.
Charlie is both highly regarded and well known by the labor
bar. He served as editor-in-chief of "The Developing Labor Law"
which was written by a committee of the Labor Relations Law Section
of the American Bar Association. The volume, of which the American
Bar Association holds the copyright, was published by The Bureau of
National Affairs, Inc. It is, in my opinion (and I believe in the
opinion of most lawyers practicing in the field) the best one-volume
work ever written on the National Labor Relations Act, the work of
the National Labor Relations Board and all other areas of the field
dating from the Wagner Act. It is updated annually.
Dean Michael I. Sovern, Dean of the Columbia University Law
School, paid a well-deserved tribute to Charles Morris when he said
in the foreward to "The Developing Labor Law":

This is in response to your inquiry of July 20 regarding
the legality of an appointment of General Lou Walt,
retired General Officer in the United States Marine Corps,
to the vacant post of Under Secretary of the Navy.
10 U.S.C. Sec. 973 (b) derives from the Act of July 15,
1870, ch. 294 Sec. 18, 16 Stat. 319. As most recently
amended and recodified, it reads:
* * *
" (b) Except as otherwise provided by law,
no officer on the active list of the
Regular Army, Regular Navy, Regular Air
Force, Regular Marine Corps, or Regular
Coast Guard may hold a civil office by
election or appointment, whether under
the United States, a Territory or pos-
session, or a State. The acceptance of
such a civil office or the exercise of
its functions by such an officer
terminates his military appointment."

It is clear that the position of Under Secretary of the
Navy constitutes a "civil office" as used in 10 U.S.C.
973 (b). From the debate on the floor of the Senate in
1870 regarding the antecedent of Section 973 (b), it
appears that the primary concern of the Congress was the

exercise of civil authority by military officers. CONG.
GLOBE, 41st Cong., 2d Sess. 3393-3404 (1870). To this
end, the Congress sought to prevent "the union of the
civil and the military authority in the same hands,"
id. at 3401, in part because it was concerned that a
military officer exercising such authority would be
subject to the commands of his military superiors.
The Congress did not intend, however, to prevent civil-
ian officials from seeking advice or administrative
assistance from military officers. See, id. at 3403
(remarks of Senator Trumbull).
Moreover, the position of Under Secretary of the Navy
meets the criteria for a "civil office" as established
by the Comptroller General:
The specific position must be created
by law, there must be certain definite
duties imposed by law on the incumbent,
and they must involve the exercise of
some portion of the sovereign power
[44 Comp. Gen. 830, 832 (1965) ].
You indicate in your memorandum that General Walt is a
retired officer. I assume therefore that he is no longer
"
on the active list of the
Marine Corps" as
proscribed by 10 U.S.C. Sec. 973(b) Accordingly, his
appointment would not violate that statute. Of course,
his military background could raise some distinctly
political problems of which I am sure you are aware.

There is no statutory rule of succession specifically
applicable to OTP. Accordingly, you are free to designate
your own successor until a new Director is nominated and
confirmed or until the President names an acting successor.
Succession in an "Executive department" (except for the
Department of Justice 1/) is governed by 5 U.S.C.
§§ 3345-3347. As a general rule, when the head of an
Executive department "dies, resigns, or is sick or absent,"
his "first assistant" (undefined by the statute) performs
his duties until a successor is named or until the absence
or illness stops. An exception to this general rule permits
the President to direct an officer of the Executive Branch,
whose appointment is vested in the President by and with
the advice and consent of the Senate, to perform the duties
until a permanent successor is appointed. Note that
this exception is permissive, not mandatory.
These provisions are not directly applicable to OTP because
the term "Executive department" is defined to mean one that
is headed by a Cabinet Officer. But even if they did apply,
they would not preclude the Director from designating an
acting successor to take over in his absence and in the
absence of a Deputy Director; in effect, he would be
designating his "first assistant" for purposes of succession.
1/ A specific order of succession for the Department
of Justice is established by 28 U.S.C. § 508, as
implemented by 28 CFR § 0.132. Thus, in the event
of a vacancy in the Office of Attorney General, the
Deputy Attorney General and Solicitor General are,
respectively, next in line.

Attached is a draft directive naming a "first assistant"
as acting successor to the Director in the absence of a
Deputy Director. The directive would supersede all other
succession directives except procedures applicable in
the event of war or national emergency (also attached).
This directive would, of course, be preempted by the
designation of an acting successor by the President.

SUCCESSION PROCEDURES
PURPOSE
To provide OTP succession procedures.
EXECUTION
In the absence or incapacity of the Director, Office of Telecommunications
Policy, during an emergency or war situation he will be automatically
succeeded in the order indicated by the personnel occupying the positions
indicated below. If any of the successors are not available at an operable
point of operations, the next successor available at an operable location
will succeed the Director. However, when a successor higher in the
order of succession becomes available, he will assume authority.
FIRST : Deputy Director
SECOND: Director of Communications
THIRD : Director of Resource Management
FOURTH: Director, Frequency Management
It is planned that the DTP will, during a war or national emergency,
carry out the responsibilities assigned to him by the President.
Before assuming succession, successors will verify the availability
and capability of the Director and higher listed successors. In
addition, the individual succeeding the Director will assure that all
other OTP and appropriate non-OTP personnel are notified of the
succession.
Each successor will exercise the authority and functions of the Director
until hc is replaced by a more senior successor or, in the case of
non-survival of the Director, OTP, until a new Director, OTP, is
designated by the President.

Parole Commission Appointments
I have expressed to you our interest in having Mr. Larry Traylor
considered by the President for appointment to the U. S. Parole
Commission in the place of one of the three candidates currently
under review.
At Phil's direction, I have attempted to discuss the matter with
Judge Tyler but unfortunately he has been out of town all this
week. In view of the fact that the upcoming congressional recess
would appear to obviate any immediacy to the nominations (a
judgment which is concurred in by people at the Department of
Justice), I would appreciate your bearing with me for an additional
brief period of time in order to allow us to discuss this matter
further with Judge Tyler.
In the meantime, however, attached are copies of Mr. Traylor's
resume and letters supporting his nomination from Senators
McClellan and Hruska, two of the three members of the confirming
subcommittee. Should it become necessary to present this matter
to the President prior to a resolution of any disagreement between
this office and Judge Tyler, I would very much appreciate the
inclusion of Mr. Traylor as a candidate for consideration by the
President.

The Pennsylvania Avenue Development Corporation Act of
1972, Public Law 92-578, vests the powers and management of the
Corporation in a Board of Directors of 15 voting members, eight of
whom are appointed by the President from private life. Four of the
appointed members must be residents of the District of Columbia.
On April 17, 1973, President Nixon appointed the eight private mem-
bers to the Corporation's Board: four to terms expiring in 1978; two
to terms expiring in 1976; and two to terms expiring on October 26,
1974.
Mrs. Jouett Shouse and Mr. John T. Connor, appointed by
President Nixon on April 17, 1973, have each resigned due to other
pressing business. The appointments of Mr. Mitchell I. Kafarski
and Mr. Willie L. Leftwich, also appointed by President Nixon on
April 17, 1973, will expire on October 26, 1974. Mr. Kafarski has
expressed a desire, and Mr. Leftwich a willingness, to continue
serving.
I respectfully request that consideration be given to appoint-
ments essential to filling the unexpired terms of Mrs. Jouett Shouse
and Mr. John T. Connor. Their terms expire on October 26, 1976.
I also request that consideration be given to appointments
essential to filling the soon-to-expire terms of Mr. Mitchell I.
Kafarski and Mr. Willie L. Leftwich. Their terms expire on
October 26, 1974.

Board of Directors of the D. C. Redevelopment Land Agency, which
is soon to become an agency of the District of Columbia Government.

under the terms of Public Law 92-578.

Mr. Frederick Kappel, Chairman of the subject Board, will
be leaving at the end of his term in December. Also, Dr.
Robert Ing has submitted his resignation because of poor
health. Both of these newly created vacancies will be for
Republicans. We would like to move quickly and assemble
names for the President to consider.
The Postmaster General's office strongly believes that one
of these appointments should go to a black since blacks
comprise approximately 20% of the postal work force. A1-
though there are no formal requirements, the candidates
should be individuals with a good management background
and solid credentials (Kappel is the retired Chairman of
A.T. & T.). This Board has the final responsibility for
policy decisions that concern the total operations of the
U.S. Postal Service. It also selects the Postmaster Gen-
eral and the Deputy who then become members of the Board.
The Board of Governors receive $10,000 per year in salary
and $300 per meeting. They meet approximately once a month.
Please forward any recommendations by December 9, 1974.

DAVID J. BLACKWELL
Mr. Blackwell is a native of Maryland. He attended Carnegie Institute of
Technology, Yale University, University of Minnesota, and graduated from
Haverford College, Haverford, Pennsylvania in 1949 with a B.A. in
Political Science.
During World War II he served in the U.S. Army. Most of his service
experience was in a Japanese language program and subsequent assignment
in post-war Japan.
Mr. Blackwell spent 18 years with the Prudential Insurance Company of
America. His early experience there was in clerical systems analysis and
development. As computer systems emerged as a business activity, his
work specialized in that area. He left the Prudential in 1967 to be Executive
Director of data processing for Educational Testing Service in Princeton,
New Jersey. In addition to his normal administrative responsibilities in
that capacity, he acted as liaison with EDUCOM (inter-university communica-
tions council). In 1970 he joined the Massachusetts Mutual Life Insurance
Company as a Second Vice President. He became an Executive Officer and
Division Vice President of the Information Services Division in 1971.
He is a member of the Life Office Management Association's Systems
Research Committee, the Life Insurance Systems Planning Executives
Council and the Research Group. He holds membership in the Association
for Computing Machinery and the College of Life Underwriters. In public
service activities he is a Director and Treasurer of the Springfield Theatre
Arts, Inc., a Trustee and member of the Finance Committee of Bay Path
Junior College, and a member of the Executive Council of the Pioneer
Valley Boy Scouts of America, and a corporator of the Hampden District
Mental Health Clinic.
