Gentlemen:
The reference agreement is currently in effect for support of the
Republic of China's program to modify 1000 of their AIM-9B Guidance
and Control Units (GCU's) to the AIM-9E configuration. To continue
this program to upgrade their inventory of air-to-air missiles, the
Government of the Republic of China has elected to proceed with a
modification of an additional 1000 AIM-9B GCU's, but this time to
the AIM-9J configuration.
Approval of a modification to the reference agreement or an approval
of a new agreement is required to support this program. For your
approval, I enclose four copies of this letter and five copies of Philco
Overseas Services, Inc. Contract No. C-22021A which includes the
technical assistance effort. The technical assistance effort is detailed
in Section A3. 8 which covers training, and Section A3. 9 which covers
technical and support services for the depot. An application on Form
DSP-85 is being made under separate cover for the export of the com-
modities for the program. These include AIM-9J modification kits and
equipment necessary to modify the existing AIM-9E depot for the AIM-9J
effort.

In accordance with 22CFR124.11, the following information is provided:
a)
Our Munition Control registration number is 275-1639.
b)
The AIM-9J GCU configuration was developed by Philco-Ford
with in-house funds. The USAF subsequently bought a
production quantity under F09603-71-C-0167. The AN/ASM-447
was developed and produced for the USAF under the same
contract.
c)
The military security classification of the AIM-9J GCU is
"Confidential". The AN/ASM-447 is unclassified. Classified
technical data to be exported for this program will be listed
as separate items on the DSP-85 application.
d)
If the agreement is approved by the Department of State, such
approval will not be construed by Philco Overseas Services, Inc.
as passing on the legality of the agreement from the standpoint
of antitrust laws or other applicable statutes, nor will Philco
Overseas Services, Inc. construe the department's approval as
constituting either approval or disapproval of any of the business
terms or conditions between the parties to the agreement.
e)
There are no patent applications covered by secrecy orders of
the U.S. Patent Office known to us which disclose any of either
the AIM-9J modification, the AN/ASM-447 or related technical
data.
f)
Philco Overseas Services, Inc. will not proceed with the services
covered in Sections A3. 8 and A3.9 of Contract No. C-22021A
until approval has been received from the Department of State.
g)
The Chinese Government Procurement and Services Mission,
Division for Ministry of National Defense, has issued their
Purchase Order No. EC(63)3004 for the program, and it has
been accepted by Philco Overseas Services, Inc. It is therefore
anticipated that additional copies of Contract C-22021A will not be
required by the Department of State. Philco Overseas Services,
Inc. will advise the Department of the contract's termination not
less than 60 days prior to expiration, including information on
the continuation of any rights or flow of technical data to the
foreign party.

Contract C-22021A dated 8 April 1974, provided the following revisions
are incorporated prior to formal acceptance by the parties:

Article 2, page 4, Performance and Delivery Schedule:
All deliveries remain as shown on the schedule except
that Modification Kits which will be delivered at the
end of the 21st, 22nd and 23rd months will be at 50 per
month starting with the 21st month and ending in the
26th month. A copy of the Performance and Delivery
Schedule, revised to incorporate the above revisions
is attached.

ARTICLE 2
TERMS OF DELIVERY AND DELIVERY SCHEDULE
2.1 GENERAL
2.1.1 The dates of delivery for the supplies and services identified in
Article 1 are set forth in the Performance and Delivery Schedule on
Page 4.
2.1.2 All deliverable material and equipment will be packaged and packed
in accordance with normal commercial practice adequate for air transpor-
tation to the Buyer's Port of Entry.
2.2 SELLER'S DELIVERY OF MATERIAL AND EQUIPMENT TO BUYER
2.2.1 Seller shall deliver the materials and equipment identified in
Article 1.1.1 on the dates set forth in the Performance and Delivery
Schedule to Los Angeles International Airport, Los Angeles, California,
which will be the point of transfer of custody. Buyer will be respon-
sible for transportation costs from the Los Angeles International Air-
port. Seller will be responsible for costs of insuring each delivery
from Los Angeles International Airport to Buyer's Port of Entry. Buyer
will reimburse Seller for such insurance costs upon Sellers presentation
of an invoice to the Chinese Government Procurement and Services Mission.
2.2.2 Seller shall deliver materials and equipment identified in Arti-
cles 1.1.2 and 1.1.3 FOB Buyer's Port of Entry. Buyer shall provide
the necessary insurance, materials, handling equipment, manpower, vehi-
cles and drivers for the unloading/loading and movement of deliverable
materials and equipment from Buyer's Port of Entry to the final storage
and/or Depot installation site. Buyer is responsible that all materials
and equipment are packaged, packed and handled, with regard to such
movement, so as to assure safe, undamaged arrival at destination. Seller
is not responsible for delivered material and equipment after their arri-
val at the Buyer's Port of Entry.
2.2.3 Due to the U.S. Government regulations, the AIM-9J Modification
Kits described in Annex 1 will be delivered through a U.S. Government Repre-
sentative into the custody of Buyer's designated authorized representative
at the point of transfer of custody specified in Article 2.2.1. Buyer will
provide Seller with the name of its authorized representative at the point
of custody transfer at least 60 days prior to first delivery of Modification
Kits.

INSPECTION AND ACCEPTANCE
3.1 AIM-9J GCU MODIFICATION KITS AND AN/ASM-447 TEST SETS
3.1.1 Final inspection for purposes of acceptance of the AIM-9J Modifi-
cation Kits shall be accomplished at the Seller's facility in Newport Beach,
California, by Seller's Quality Control personnel. Final acceptance of the
seekers will be accomplished in accordance with the requirements of draw-
ing 397-1481 and paragraphs 4.7 through 4.7.25 of Specification AS 132168.
Seeker limited environmental tests will be performed in accordance with
paragraphs 4.8 through 4.8.2.4 of AS 132168. Full environmental tests in
accordance with Philco-Ford Specification AS 132168, paragraphs 4.9 through
4.9.2.10 will not be performed. Upon request, a copy of Seller's Acceptance
Test records evidencing satisfactory completion of work performed will be
provided to the Buyer. In addition, the Buyer may inspect the work at his
expense, if desired, subject to U.S. Government security requirements which
include a requirement for escort by Seller's personnel.
3.1.2 Final inspection for purposes of acceptance of the AIM-9J Field Test
Sets (AN/ASM-447) shall be accomplished at the Seller's facility in Newport
Beach, California, by Seller's Quality Control personnel. Acceptance tests
will be performed in accordance with Philco-Ford Specifcation AS 130380.
Upon request, a copy of Seller's Acceptance Test records evidencing satis-
factory completion of work performed will be provided to the Buyer. In
addition, an authorized representative of the Buyer can be present to inspect
these operations and certify that performance is satisfactory, if desired,
subject to U.S. Government security requirements which include a requirement
for escort by Seller's personnel.
3.2 GUIDANCE AND CONTROL UNIT DEPOT FACILITY
3.2.1 Acceptance will be conducted in two discrete increments: one at
Seller's plant and one at Buyer's installation site as described below.
3.2.1.1 AT SELLER'S PLANT
a. Seller will accomplish a visual and mechanical inspection of all
modification kits prior to installation into Test Stations.
b. Seller will check each Test Station modified upon completion of
the modification for satisfactory operation and calibration, utilizing the
procedures to be supplied with the end items and through observation of
the tests performed on two Seller supplied AIM-9J servos.
C. Seller supplied tools will be checked for proper operation before
delivery to Buyer.

d. All calibration equipment, both special and standard, will be
certified against primary standards and checked for proper operation.
3.2.1.2 AT BUYER'S INSTALLATION SITE
a. Seller's installation personnel will modify, check out and cali-
brate the Test Stations in accordance with the calibration procedures and
calibration equipment supplied. This task will be accomplished with the
assistance of Buyer's technical personnel.
b. Acceptable performance of the test stations, tools, and calibration
equipment will be based on the ability of the modified depot and overhaul
items to perform the various operations as stated in Seller-furnished
documentation.
C. End-item performance will be demonstrated by operation utilizing
AIM-9J GCU's. Both Seller and Buyer personnel will accomplish tests and
evaluate this performance for acceptance.
d. Criteria for acceptance of the delivered equipment shall be the
satisfactory functional performance of the equipment as demonstrated by
Seller. Inspection of tooling for dimensional conformance to the documen-
tation will be limited to those critical dimensions that will affect end-
item performance as determined by Seller.
e. Acceptance and sign-off of all deliverable end items shall be
based solely on the acceptance testing and criteria defined herein.
f. Acceptance tests will be conducted during the test phase of the
installation period.
g. Recertification of calibration, if required, must be performed
by the Buyer utilizing Buyer-supplied primary or secondary standards,
facilities, and procedures.
h. As the modification of equipment nears completion, Seller shall
give the Buyer five (5) days advance notice of the date on which each test
station will be ready for checkout and system test.
i. Acceptance of deliverable documentation will be based on its con-
formance with paragraph A3.6 of Annex 3 and paragraph SA3.5 of the
supplement to Annex 3.

3.2.2 INSPECTION
Subject to any applicable U.S. Governmental regulations, the Buyer's
authorized inspector shall have the right to inspect equipment manufactured
at Seller's facilities. This right, however, shall be confined to inspec-
tion of completed equipment and major components thereof. Inspection shall
include the right to witness the Seller's standard tests.
At least two (2) months prior to the scheduled date of shipment, the Buyer
shall notify Seller, in writing, of the specific equipment, if any, upon
which the Buyer desires to exercise its inspection rights hereunder.
Notice of inspection date(s) shall be given to Buyer at least five days
in advance thereof. Buyer's inspector shall exercise his rights in such a
manner as not to delay the manufacture, test or shipment of any equipment.
Buyer's inspector shall signify acceptance after he inspects the equipment
by signing Seller's certificate of inspection or shall submit a written
statement of his specific reasons for withholding his signature. If a
written statement is not received by Seller, within 24 hours after Buyer's
inspection, then the signature of an authorized quality assurance repre-
sentative of Seller shall suffice. However, such acceptance shall not
relieve Seller of its obligation under the "Warranties" Article.

ARTICLE 4
INVOICING AND PAYMENT
4.1 All payments to Philco Overseas Services, Inc. hereunder shall be made
in United States currency or checks denominated in United States currency
made payable to Controller, Philco-Ford Corporation, Aeronutronic Division,
Newport Beach, California 92663 in accordance with the payment schedule set
forth in paragraph 4.2. Seller shall submit invoices for approval and pay-
ment to the Chinese Government Procurement and Services Mission, Division
for Ministry of National Defense, Washington, D.C. Buyer may make payment
hereunder through the United States Army Finance and Comptroller Information
Systems Command, Military Assistance/Sales Accounting Division under a Credit
Agreement between the United States of America and the Republic of China.
4.2 Buyer shall remit payments to Seller in accordance with the following

ARTICLE 5
TERMS AND CONDITIONS
5.1 GENERAL
Contractual terms and conditions for this effort must meet any U.S. Govern-
ment requirements and be acceptable to Philco Overseas Services, Inc.
5.1.1 MANDATORY U.S. GOVERNMENT PROVISIONS
The United States Government International Traffic in Arms Regulations
(ITAR) requires that the following terms be a part of technical assistance
agreements with parties outside the United States.
5.1.1.1 This agreement shall not become effective without the prior approval
of the Department of State of the U.S. Government.
5.1.1.2 This Agreement is subject to all the laws and regulations, and
other administrative acts, now or hereafter in effect, of the U.S. Government
and its departments and agencies.
5.1.1.3 The parties to this agreement declare that the obligations contained
in this agreement shall not affect the performance of any obligations created
by prior contracts or subcontracts which the parties may have individually
or collectively with the U.S. Government or its departments and agencies.
5.1.1.4 Any use of tooling and facilities which the U.S. Government owns
or to which it has the right to acquire title must be authorized by the
U.S. Government contracting officer.
5.1.1.5 No liability shall be incurred by or attributed to the U.S. Govern-
ment in connection with any possible infringements of privately owned patent
or proprietary rights, either domestic or foreign, by reason of the U.S.
Government's approval of this agreement.
5.1.1.6 The technical data pertaining to the military hardware items con-
cerning which the services under this contract are rendered and to be
rendered are not authorized to be directly or indirectly sold, leased,
released, assigned, transferred, conveyed, or in any manner disposed of
in or to Albania, Bulgaria, Communist China, Cuba, Czechoslovakia, East
Germany, Estonia, Hungary, Latvia, Lithuania, North Korea, Outer Mongolia,
Poland, Romania, Union of Soviet Socialist Republics, any of the area of
Vietnam which is under de facto Communist control, and any other area which
is determined by the Department of State of the U.S. Government to be under
Communist control.
5.2 SPECIAL TERMS AND CONDITIONS
In addition to the terms and conditions mentioned above the following
special provisions are included in this Contract.

5.2.1 WARRANTIES
a. Seller warrants that all parts, components or subassemblies which
are manufactured or acquired by Seller and installed on or incorporated in
the deliverable end items hereunder will be free and clear of all liens
and encumbrances at time of delivery to Buyer.
b. Seller further warrants for a period of 6 months after each
delivery to Buyer hereunder that at the time of delivery the parts and
components furnished by Seller and Seller's work incorporated into the
delivered items will be of good quality and in substantial conformity with
applicable specifications set forth elsewhere in this contract. Seller's
liability under this warranty shall be limited to repairing, replacing, or
granting a credit for any part or component or work which is determined to
Seller's reasonable satisfaction to have failed to comply with this warranty
at the time of delivery, Seller to have the choice of selecting the manner
of discharging its said liability. To receive the benefit of this warranty,
Buyer must give Seller written notification within 20 days after Buyer
knows, or reasonably should have known, of the alleged nonconformity, and
prior to expiration of the warranty period. Such notification shall identify
the nonconforming item involved and shall contain details of the circumstances
of discovery by Buyer and nature of the nonconformity. Unless Seller other-
wise instructs, Buyer shall return the nonconforming item F.O.B. Seller's
plant, packed and packaged for arrival at destination in an undamaged con-
dition. This warranty is not applicable to items which have been damaged by
misuse after delivery, by negligence of Buyer or third parties, or by other
causes beyond Seller's control. This is not a warranty of GCU's which have
been modified by Buyer; rather it is a warranty applicable only to items
delivered by Seller to Buyer hereunder. After any item warranted by this
clause has been corrected or replaced by Seller. This warranty shall con-
tinue with respect to such item for the remainder of the original warranty
period.
C. The warranties stated herein are in lieu of all other warranties,
EXPRESS OR IMPLIED, including warranty of MERCHANTABILITY, and warranty of
SUITABILITY FOR INTENDED PURPOSE. Seller shall not be liable or responsible
for consequential or incidental damages with respect to any goods sold or
services rendered hereunder, and Buyer agrees to indemnify and hold Seller
harmless against any such damages.
5.3 DELAYS
a. Seller shall not be liable for delays in performing its obliga-
tions, and the date on which Seller's obligations are to be fulfilled
shall be extended without penalty for a period equal to the time lost,
by reason of any delay arising directly or indirectly from:
(1) Acts of God, unforeseeable circumstances, acts
(including delay or failure to act) of any
governmental authority (De Jure or De Facto),
war (declared or undeclared), riot, revolution,

priorities, fires, strikes, sabotage or
epidemics.

(2) Inability due to causes beyond Seller's reasonable
control to timely obtain necessary and proper labor,
materials, components, facilities, transportation
or instructions from Buyer.
b. If delay resulting from any of the foregoing causes extends for more
than 60 days and the parties have not agreed upon a revised basis for con-
tinuing the work at the end of the delay, including an adjustment of the
price, then either party, upon 30 days advance written notice, may terminate
this contract in respect to the unexecuted portion of Seller's work whereupon
the Buyer shall pay Seller reasonable and proper charges for work actually
performed.
5.4 SUPPORT FROM BUYER
In addition to the requirements of any other provisions of this contract, the
Buyer shall provide to Seller, at no cost to Seller, the following:
(1) All real estate including facilities for depot
installation, i.e., sites including buildings,
roadways, walks, parking areas, security fences
and sewage disposal.
(2) Test equipment and calibration services and
associated adjustment/repair in the Buyer's
Precision Measuring Equipment Laboratory (PMEL)
as required.
(3) Armed guards for security of equipment and per-
sonnel at the depot facility on a full time
(24 hours) basis.
(4) One Buyer liaison officer at the depot facility
for necessary coordination of Buyer personnel with
Seller's installation.
(5) One (1) Chinese-English interpreter at the depot
and warehouse facility.
(6) Access to the Depot Facility and noninterference
in the performance of the work to be performed.
(7) Use of available Buyer's communications services
at no cost.
(8) Electric and air power for all needs.
(9) Office space for 13 people within air conditioned
buildings adjacent to the depot.

(10) All other services, property and facilities as
specified in this contract to be furnished by
Buyer.
Equitable adjustment in the contract price or delivery schedule, or both, for
delays or added costs incurred by Seller as a result of failure of the Buyer
to provide the above support to Seller, shall be made.
5.5 EMERGENCY MEDICAL CARE
In the event that Seller's employees assigned to this program become injured
or ill while in the Buyer's territorial limits, the Buyer will provide, with-
out cost to Seller, such medical attention as is required for the health and
well being of said employe, until such time as it is practicable for Seller to
arrange for other suitable medical attention.
5.6 NONFULFILLMENT
In the event of nonfulfillment by the Buyer of any of the conditions of this
contract, Seller may suspend performance and any costs incurred by Seller as
a result thereof shall be payable by Buyer. If such nonfulfillment is not
rectified by the Buyer promptly upon notice thereof, Seller may terminate
performance and the Buyer shall pay Seller reasonable and proper charges
resulting from such termination upon submission of Seller's invoices. In the
event Seller fails to perform its obligations as set forth in this contract
and further, fails to correct this deficiency promptly upon notice thereof by
Buyer, Buyer may reduce the contract value by the amount that is deemed
mutually to be reasonable to correct the deficiency.
5.7 TITLE AND CUSTODY
All items modifying the Depot Facility, which are furnished by Seller from
Chinese, U.S. or other sources, either for incorporation into the systems or
for permanent acquisition by the Buyer, shall be delivered to the Buyer's
carrier at the factory of origin in Taiwan for Chinese sources and at
Los Angeles International Airport for supplies obtained from other than
Chinese sources. Upon such delivery, title to such items and responsibility
for care and control during transit shall vest in the Buyer. Notwithstanding
the foregoing provisions, except for the period of transport on Buyer's
carrier to site location, Seller shall retain care and control of all such
items until system turnover. Upon system turnover, Seller shall be relieved
of all responsibility for such care and control. To the extent it is neces-
sary to transfer custody of any deliverable item from Seller to Buyer through
a representative of the United States Government, such transfer will occur
at the Los Angeles International Airport, Los Angeles, California.
5.8 PRIVILEGES PROVIDED BY BUYER
This contract is based upon the following privileges and exemptions and in
the event any of the privileges or exemptions identified herein are denied
Seller, or its non-Taiwan subcontractor despite compliance by the person(s)
concerned with all relevant laws, regulations and administrative requirements

of the Buyer, its agencies and political subdivisions, and with the direc-
tions, instructions or regulations of the Buyer, Seller shall give prompt
written notice thereof to the Buyer.
a. It is understood that Buyer will provide Seller in a timely manner
with all necessary permits, licenses and authorizations required for per-
sonnel to perform services under this contract in Taiwan.
b. All property, material, equipment and supplies imported into Taiwan
by Seller or its subcontractors exclusively for use on this contract shall be
exempt from import and export duties, taxes, licenses, excises, imposts and
charges, and such of these items as do not become a part of the completed
work or supplies to be furnished under the terms of the contract may, at
Seller's discretion, be removed from Taiwan or disposed of in Taiwan free of
any restrictions or claims which may arise by reasons of such removal or dis-
posal; except that any applicable customs duty, tax or charge will be paid in
the event of sale or disposal by Seller in Taiwan to a purchaser other than
an agency or representative of the Buyer.
C. The Buyer, its agencies and political subdivisions, shall levy no
taxes or fees (including taxes on corporate income, or property, customs or
import duties and other taxes) on Seller or its non-Taiwan subcontractors.
In the event these exemptions are not granted or if such taxes are imposed
and required to be paid, Seller shall be reimbursed for said payments or
additional costs incurred thereby.
5.9 PATENT INFRINGEMENT
If performance of the contract by Seller, or use, sale or other disposal by
Buyer of anything furnished by Seller under this Contract, infringes or is
claimed to infringe any patent application or patent, Buyer agrees to indem-
nify and save Seller, its officers, agents and employees and also its sub-
contractors and suppliers under this contract, harmless against all judgments,
decrees, costs, expenses and other liabilities related to said infringement
or claimed infringement. As part of this duty to indemnify and save harmless,
Buyer shall defend or settle at no expense to Seller every suit based upon
such infringement or claim of infringement. Seller agrees to notify Buyer
promptly on receipt of each such claim and each notice of such suit.
5.10 USE OF U.S. GOVERNMENT-OWNED TEST EQUIPMENT AND SPECIAL TOOLING
Seller shall be authorized noninterference rent free use of the test equip-
ment and special tooling presently accountable under U.S. Air Force Con-
tracts F09603-71-C-0167, F09603-71-C-1425 and F09603-74-A-0223 in the per-
formance of this Contract. In the event the U.S. Government does not grant
rent-free use or withdraws permission for the rent free use of equipment as
specified above, necessary rent will be computed and added to the contract
price. Denial of use of the equipment either on a rent-free use basis or
rental basis shall cause the contract to be equitably adjusted to reflect the
additional investment required for performance.

5.11 CONFLICTING PROVISIONS
Seller's failure to object to provisions contained in any communication from
Buyer which conflict with Seller's terms of sale shall not be deemed accep-
tance thereof by Seller. Only those terms and conditions contained herein
apply to any Sale under this contract, unless Seller agrees in writing that
other or additional terms are applicable. Modifications to this contract of
sale between the parties shall be made only in writing, executed by a duly
authorized representative of each party.
5.12 APPLICABLE LAW
This contract shall be construed according to the laws of the State of
California insofar as existence of the contract as a binding agreement and
matters concerning performance or breach thereof are concerned. If the par-
ties find themselves in an irreconcilable disagreement as to any matter con-
cerning this contract which is not resolved after bona fide negotiation and
effort at compromise - which each party commits itself to attempt in good
faith - then such disagreement shall be subjected to settlement by arbitra-
tion in accordance with the rules of the International Chamber of Commerce
then in effect, arbitration to take place in Los Angeles, California, and the
third arbiter to be designated by the two arbiters appointed by the parties.
Judgment upon the award rendered may be entered in any court having jurisdic-
tion in Taiwan or the United States, or application may be made to such
court for judicial acceptance of the award and an order of enforcement, as
the case may be.
5.13 PERFORMANCE BY SUBSIDIARY
Seller reserves the right to assign this contract or any part thereof or to
subcontract all or any part of the performance hereof, to a wholly owned
subsidiary of Seller or to Seller's parent or an affiliated company. If such
assignment or subcontract is made, Seller will guarantee performance by such
subsidiary, parent or affiliate if requested by Buyer.
5.14 LICENSES, PERMITS AND COMPLIANCE WITH U.S. EXPORT REQUIREMENTS
Seller's obligations hereunder are contingent upon Seller being able to obtain
all necessary U.S. Government Licenses, permits, authorizations and other
clearances. Seller will undertake to obtain such clearances and will inform
the Buyer of any delays or difficulties relating thereto. Such clearances
may be granted subject to incorporation herein of certain clauses or terms
required by the U.S. Department of State or other U.S. Agency and Buyer
agrees that any such required clause may be incorporated herein. Any delay
occasioned by the foregoing shall be considered an excusable delay.
5.15 LIMITATION OF LIABILITY
The total liability of Seller (including its suppliers) for any claim, whether
in contract, tort (including negligence) or otherwise, arising out of, con-
nected with or resulting from the manufacture, sale, delivery resale, repair,

replacement or use of any equipment or the furnishing of any services shall
not exceed an amount equal to the total contract price.
5.16 IN-COUNTRY CONFERENCE AND REVIEW
A technical conference will be held in Buyer's country approximately four (4)
weeks after contract award. The subject matter of this technical conference
will include discussion of detailed requirements of the contract. A pro-
visioning review of spare parts selected for support of the depot will be
held at this conference. Within eighteen (18) weeks after contract award,
Seller will review with Buyer's technical personnel in Buyer's country pre-
viously furnished depot area layouts, process, flow and detailed facility
requirements.

A2.1.1 AIM-9J FIELD TEST SET CALIBRATION ADAPTER BOXES
The Adapter Box is used during calibration to provide for access to the test
set umbilical connector. In addition, the box contains three load resistors
which are used to simulate the GCU loads on the test set power supply. The
FTS Calibration Adapter Boxes shall be fabricated in accordance with drawing
130936.
A2.1.2 AIM-9J FIELD TEST SET TORQUE TOOL ADAPTERS
The FTS Torque Tool Adapters shall be fabricated in accordance with drawing

MODIFICATION OF THE AIM-9E DEPOT FACILITY TO PROVIDE AN
AIM-9J GCU CAPABILITY
A3.1 GENERAL
This annex describes the necessary modifications to the AIM-9E Guidance and
Control Depot Facility to provide the capability to modify, test, analyze,
and repair AIM-9E and AIM-9J Guidance and Control Units. This facility will
include the following capabilities and characteristics:
(1) A capability of testing and repairing Sidewinder
Guidance and Control Units, designated as AIM-9E
or AIM-9J.
(2) A capability of a combined test and overhaul rate
of 50 Guidance and Control Units per month based
on a normal 40-hour work week on a single shift
basis.
(3) The special equipment will conform to good
commercial manufacturing standards and Seller's
quality standards pertaining to components,
material and workmanship.
(4) A capability of testing and repairing the
AN/ASM-447 test set.
This annex also includes a description of depot modification training and
Technical services required to train depot personnel.
A3.2 UTILITIES AND FACILITIES REQUIRED
The present depot utilities and facilities must be adequate to permit
modifications necessary to add an AIM-9J GCU capability.
A3.3 DEPOT FACILITY MODIFICATION
The modified facility shall have the capability to permit testing, analysis,
and repair of the Sidewinder AIM-9J and AIM-9E GCU's in accordance with
Systems Specifications. Environmental testing exclusive of vibration, is
not part of this modified depot capability.

Two copies of the following documentation shall be furnished to the Buyer
in the English language and the Seller's format:
(1) Tool drawings.

test station.
(4) Electrical schematics for all special test panels,
fixtures, jigs and etc., furnished.
(5) Interconnecting cabling diagrams for each test
station.
(6) Parts lists for all special test panels, fixtures,
jigs and etc., furnished.
(7) Two copies of handbook furnished by manufacturer
for each piece of standard commercial equipment
furnished.
(8) Fabrication drawings of equipments are not
included in this Statement of Work.
(9) Signal Flow diagrams covering input and outputs

A3.8 TRAINING
A3.8.1 GENERAL
Seller will provide training at the Buyer's Depot in the use of AIM-9J
Depot equipment and field test sets. A11 instruction material and instruc-
tions will be in the English language. Therefore, all students must be
fluent in both spoken and written English.

A3.8.2 DEPOT MODIFICATION TRAINING
a. Training will be conducted by Seller technical personnel in two
phases. The first phase will be general Sidewinder Guidance Section
review; the second and major phase will be on-the-job training at the Test
Stations with AIM-9J hardware.
b. Semiformal classroom discussions will utilize simplified block
diagrams, functional flow charts and descriptive diagrams prepared by
Seller technical personnel. This information will be general in nature
and 20 copies will be presented as permanent retention material in loose
plastic-binder form. No more than 15 Buyer technical personnel should be
present at this presentation.
C. Overhaul and Test Station explanation and training utilizing
actual AIM-9J hardware will be conducted on the test equipment. Seller's
personnel will perform the first test and repair while explaining what and
why, with user personnel observing. Buyer's personnel will then disassemble,
assemble, perform tests, and install components with the Seller's instructor
observing.
d. Course objectives and outlines for the general theory and on-the-
job training portions with time allocations and schedules will be presented
to the user for review 30 days before equipment delivery.
e. User test station operators and technical personnel should feel
free to discuss problems with the instructors at any time after the par-
ticular Test Station training has been completed. Such discussions must
not conflict with the normal schedule published for the accomplishment of
the training segment of the overhaul facility, but may occur during break
periods and after the normal working day.
f. The Depot training period will extend for eight weeks of normal
eight-hour days and five-day weeks, after installation and final acceptance
of the equipment has been accomplished.
g. The maintenance and calibration training will be accomplished
during the initial installation, check-out and calibration of the equip-
ment. This phase will be accomplished with the maintenance and calibra-
tion personnel prior to acceptance of the equipment.

A3.8.3 MODIFICATION KIT TRAINING
a. Training will be conducted by Seller technical personnel in two
phases. The first phase will be semiformal AIM-9J classroom instruction;
the second phase will be on-the-job training utilizing Modification Kits
and Depot Test Stations.
b. The classroom instruction will stress AIM-9E/9J differences,
modification processes, and Depot hardware flow. Modification procedures
will be utilized with additional training aids demonstrated to enhance
classroom instruction. A11 modification procedures will be provided for
permanent retention at the Depot.
C. On-the-job training will commence with instructor demonstrations
on all aspects of GCU modification. Subsequently, students will be
instructed and assisted during actual hardware modification.
d. The students for the Modification Kit training must have previously
received the Depot training described above for the instruction to be
effective.
e. The Modification Kit training will extend for 4 weeks of normal
eight-hour days and five day weeks, commencing concurrent with the Depot
training where practical.
A3.8.4 FIELD TEST SET TRAINING
Seller shall provide two courses of instruction, including instructional
materials in the Theory of Operation, Operation of the Field Test Set,
Testing AIM-9J GCU's, Maintenance, and Calibration of the AN/ASM-447 Field
Test Set. The courses shall be as described below.
A3.8.4.1 Course Number 1 will consist of eight hours of instruction in
procedures covering the operation of the AN/ASM-447 Field Test Set and
testing of AIM-9J GCU's. This course will be conducted twice, and will
be limited to a maximum of fifteen students in each of the two classes
offered. The students selected for this course must be proficient in oral
and written English and have the ability to understand written procedures
relating to the operation of electronic test equipment and be proficient
in the use of hand tools.
A3.8.4.2 Course Number 2 will consist of 120 hours of instruction in the
Theory of Operation, AN/ASM-447 Field Test Set Operating Procedures,
Calibration, Maintenance, and Testing of AIM-9J GCU's. This course will
be conducted once and will be limited to a maximum of fifteen students who
must be advanced electronics technicians proficient in oral and written
English with a good understanding of electronic system theory and familiar
with the maintenance and calibration of electronic test equipment.

A3.8.4.3 The training courses are based on a 40 hour week. Instruction,
instructional material, reports, manuals, documentation or memoranda used
or developed will be in the English language.
A3.9 AIM-9J DEPOT TECHNICAL SERVICES
A3.9.1 GENERAL
Seller agrees to provide technical assistance and support to the Buyer's
depot personnel for a period of twelve continuous months in accordance
with the Performance and Delivery Schedule set forth on Page 4. The depot
technical assistance will commence upon completion of depot training.
A3.9.2 TECHNICAL ASSISTANCE AND SUPPORT SERVICES
A3.9.2.1 Seller shall provide experienced personnel to assist the Buyer
in AIM-9B/J depot operations including, but not limited to:
(1) Modification of AIM-9B GCU's to the AIM-9J
configuration.
(2) Diagnostic techniques as applied to overhaul
and repair of AIM-9J GCU's.
(3) Diagnostic techniques as applied to overhaul
and repair of AN/ASM-447 Field Test Sets.
(4) Operation and maintenance of depot test equipment.
(5) Continued training of Buyer's depot personnel.
(6) Liaison with Seller's personnel in the United
States with regard to modification, maintenance
and repair matters.
The technical assistance and support service including any reports, manuals,
procedures, documentation or memoranda utilized in or arising from this
effort will be in the English language.

A3.9.2.2 Due to the highly specialized nature of the AIM-9 technology,
personnel provided by the Seller will be experienced primarily in either
GCU overhaul, repair and testing, or GCU modification. The technical
assistance and support to be provided by Seller will be at a level deemed
necessary to support the depot while operating at a modification rate of
approximately 50 units per month.
A3.9.2.3 For this assistance and support, two personnel will be provided
by Seller as follows:
(1) One man assigned primarily to support the
modification process.
(2) One man assigned to support overhaul repair
and test operations.
A3.9.2.4 Seller may, at Seller's discretion, but without affecting the
quality or nature of the assistance and support provided, make changes
in Seller's personnel from time to time. Buyer will be advised of any
such changes in writing.

Functions of the U.S. Air Force
327th Air Division on Taiwan
You have asked what the functions of our 327th Air Division on Taiwan
are.
My understanding of its functions, based on my own experience during
the late 1960s and early 1970s, as the Political-Military Affairs Officer
first in Embassy Taipei and subsequently on the ROC Desk in State,
are the following:
- - To serve as the Air Force component contingency command
subordinate to the Taiwan Defense Command, which is our principal
contingency command on Taiwan and is a unified subcommand under
CINCPAC. (The Army and Navy component contingency commands
consist of only a handful of persons in each case, and thus are not
comparable to the 327th in the ROC's eyes.)
- - To help operate the U.S. -ROC joint Air Operations Center,
located in Taipei, which supervises day-to-day air defense operations
for Taiwan.
-- To serve as a supervising administrative headquarters for our
major Air Force operational units on Taiwan -- our two F-4 squadrons
(one of which was removed last July) and formerly our C-130 wing.
The 327th Air Division, with its headquarters in Taipei and which
presently has about 400 personnel, also has a political significance,
which gives it an importance beyond the strictly military functions
which it performs. Its one-star commander is one of three general
and flag officers who have been assigned to our units in Taiwan over
the past 20 years. (The other two are the Vice Admiral who commands
the Taiwan Defense Command and the two-star officer who heads MAAG.)

State and Defense now contend that the 327th Air Division has no
significant functions beyond those related to support of the remaining
F-4 squadron, and that the Division can easily and quickly be scaled
down to a handful of men necessary for contingency planning functions.
The Departments maintain that Ambassador Unger therefore should
tack the 327th's removal onto the F-4 withdrawal package, and should
inform Premier Chiang Ching-kuo of this at the same time he tells
the Premier that we plan to put CCK on caretaker status as part of the
F-4 removal.
Premier Chiang knows very well the range of functions that the 327th
Air Division performs. He will also remember that last April, when
Ambassador McConaughy told him of our plan to remove the two F-4
squadrons
the Ambassador also said that this
was all that there would be to this tranche. Putting CCK Air Base on
caretaker status is, nevertheless, a logical part of this package. The
removal of the 327th Air Division is not, and would make us lose
credibility with Premier Chiang and make him lose credibility with his
military leadership and others.
I believe that our recommendation of last December to Secretary
Kissinger, which he approved, was correct: that we examine the 327th
Air Division's possible removal as a part of the next tranche of
reductions that would be made sometime in FY 76.

been withdrawn.
-- Headquarters 327th Air Division should not be deactivated.
