Dear Sir:
In March and April moetings of the R.L.M. Board of Directors,
writer called attention to the board that it is ossontial for the
businoss to define clearly the management of the R.L.V. and dis-
tribute and fix the responsibility of such.
Tune to your insistence "to work as before" and que to your
obstruction to clear up the management quostion, we went thru
many diplomatic stunts to cloar up the situation until, at con-
ference in Orange, between yourself and writer, Friday. May 20th,
the writer suggested three working outlays for your consideration,
one of which Mr. Roeder and writer considered as workable.
The gross outlays wero as follows:
1. subdivision of duties and authorities on the
Board of Managers principe.
2. entrusting Mr. Roeder with execution of genoral
business matters and writer, as before, with ro-
sponsibility for Mines and Plants on budget and pro-
duction basis.
3. entrusting lir. Roeder as under * 2 and loaving
to writer such activity as medical sales promotion,
improvements on quality and quantity of production,
reduction of mamfacturing cost on technical side,
developing of new products and by-products and ex-
pansion programs.
Your answer was that you do not know enough of the details
to decide but you do know that "something is wrong" because the
Company does not make money as it should, and that the writer
could not work with Mr. Roeder.
At the conference held in your office May 25th, at 11:30 AM,
you informed the writer that you spoke the matter over with other
stockholders and you realize that it would be best to let Mr. Roe-
der and writer go, but undor present decided to
make Mr. Roeder general manager, and"of course you would like to
preserve the writer for the future, in let us say advising chem-
ist oapacity."
