My dear Dr. Sochocky: I have received your letter of the 27th ultimo upon my roturn from out of town, and regret, the ohange in your attitude evidenced by its tone. I have no desire to enter into controversial correspondence with you, but in the interests of accuracy I feel that I ought to state the essen- tial facta in the matter in en effort to ramove from your mind samo of the misapprehenaiona shown in your letter. It had been evident forsome time that you and Mr. Roeder could not work in harmony, and thet the con- duot of the business of the Company was suffering from this fact. On April 27th, at e meeting of the Board you proposed tosolve the problem by heving yourself made General Manager of the Company, and you will recall that you declined to allow any discussion by the Directors. If I remember rightly the resolu- tion was not seconded, and the Board voted to take all possible steps to make the position of the Company more liquid under the joint direction of yourself and Mr. Roéder. At our interviem in Orange I told you frankly that I did not approve personally of putting you in complete charge of the Comosny'a affairs, because I did not feel that you were by training or temperament fitted to carry the matter to a successful conclusion, and left after you had assured me that whatever the Directors decided to do would be satisfactory to you. I discuased the matter with the other Directors, particularly with Mr. Roeder who made it clear that a continuation of divided direction spelt ruin for the Comonny, and on May 25th at my office I told you that I thought the Board would decide to let Mr. Roeder work out the necessary ad- justment of the Company's affsirs. I knew that the Board would want to retain your conneotionswiti the Company, and auggested that this night be done by appointing you Chief Consulting Chemist at the seme salary that you were then receiving.
