Investment Company (SSBIC) Program to serve the growing demand
for capital by minority-owned enterprises, I am enclosing Michael

be a member of the SSBIC Advisory Council. He has had a decade
of experience in the venture capital business in key positions at
CIGNA Venture Capital and Xerox Venture Capital before founding
Ark Capital Management to focus on minority-owned businesses.
Michael is President of Ark Capital Management, which is an
Africa-American firm. Ark has spearheaded the efforts of the
minority venture capital community to access capital from
institutional sources such as public pension funds and insurance

Michael Y. Granger is Managing Partner of Ark Capital Management, a private equity
specialized advisor. Since 1985 he has been providing captial to the emerging segment of the
U.S. economy as a venture capital professional. Prior to forming Ark Capital Management, he
was Vice President and Portfolio Manager for LINC Capital Management. Inc. LINC is the
largest independent health care financial services company in the U.S. While at LINC, he was
responsible for negotiating and structuring financial transactions involving emerging growth
companies in the health care, and advanced technology fields.
Mr. Granger has had extensive experience in financing development-stage companies. Prior to
joining LINC, he was Investment Manger for Xerox Venture Capital, a $100 million technology
investment fund. His responsibilities encompassed all aspects related to the management of the
fund including, development of portfolio strategies, investment committee decisions and
identifying, evaluating and structuring investments in high technology, emerging growth
companies, He was responsible for assisting his portfolio companies in making arrangements
with Xerox operating units. He also monitored a portfolio of companies with particular emphasis
on expense control and execution of their business plans, working with the senior management of
these companies, representing Xerox on their Boards of Directors. He also served on the Xerox
Technology Management Board.
Earlier, he was a principal at CIGNA Venture Capital. an investment subsidiary of CIGNA
Corporation with $160 million of private equity assets under management, where he managed
investments in venture capital funds and venture-backed, operating companies. Prior to joining
CIGNA, he was an engineer and manager for the development of AT&T Digital Dataphone and
other advanced telecommunications services. In addition to his engineering education. Mr.
Granger acquired extensive experience in various aspects of computer and telecommunications
technology and business, through his investment as well as his operating responsibilities. Mr.
Granger was successful in dramatically increasing the productivity of his organization and
implementing new advanced telecommunications services.
Mr. Granger carned his Bachelor of Science degree in Electrical Engineering from the University
of Massachusetts at Amherst and later received his MBA in Finance from Dartmeuth College.
He enjoys long distance running and coaching soccer. Currently serves on the Board of Sparta
Surgical (a health care manufacturing company) and on the Financial Development Committee
for the U.S. Department of Commerce - Midwest Region - Minority Economic Growth
Assistance Center. Mr. Granger served four years of active duty in the U.S. Marine Corps during

Thank you for your interest in this procurement. 1 his notice is transmittal of the award of this
contract to your company in the amount of $37,912.00, based upon your proposal dated
December 6, 1994, as amended by your December 12, 1994 submission. Both of these document
are incorporated by reference into this contract. This award document does not require signature
by your company.
Your attention is called to the section B award addendum, the revised SOW in section c, and the
section H provision regarding organizational conflicts of interest. The award addendum makes
statements concerning the final inclusions of the contract. The sow is the same one faxed to you

Michael Y. Granger is Managing Partner of Ark Capital Management. a private equity
specialized advisor. Since 1985 he has been providing captial to the emerging segment of the
L S. economy as a venture capital professional. Frior to forming Ark Capital Management. he
was Vice President and Portfolio Manager for LINC Capital Management, Inc. LINC is the
largest independent health care financial services company in the U.S. While at LINC, he was
responsible for negotiating and structuring financial transactions involving emerging growth
companies in the health care, and advanced technology fields.
Mr. Granger has had extensive experience in financing development-stage companies. Prior to
joining LINC, he was Investment Manger for Xerox Venture Capital, a $100 million technology
investment fund. His responsibilities encompassed all aspects related to the management of the
fund including, development of portfolio strategies, investment committee decisions and
identifying, evaluating and structuring investments in high technology, emerging growth
companies. He was responsible for assisting his portfolio companies in making arrangements
with Xerox operating units. He also monitored a portfolio of companies with particular emphasis
or expense control and execution of their business plans. working with the senior management of
these companies, representing Xerox on their Boards of Directors. He also served on the Xerox
Technology Management Board.
Earlier, he was a principal at CIGNA Venture Capital, an investment subsidiary of CIGNA
Corporation with $160 million of private equity assets under management, where he managed
it vestments in venture capital funds and venture-backed, operating companies. Prior to joining
CIGNA. he was an engineer and manager for the development of AT&T Digital Dataphone and
other advanced telccommunications services. In addition to his engineering education, Mr.
Granger acquired extensive experience in various aspects of computer and telecommunications
technology and business, through his investment as well as his operating responsibilities. Mr.
Granger was successful in dramatically increasing the productivity of his organization and
implementing new advanced telecommunications services.
Mr. Granger earned his Bachelor of Science degree in Electrical Engineering from the University
0" Massachusetts at Amherst and later received his MBA in Finance from Dartmouth College.
He enjoys long distance running and coaching soccer. Currently serves on the Board of Sparta
Surgical (a health care manufacturing company) and on the Financial Development Committee

Dear Special Friend:
I have in my possession compelling evidence that proves
beyond all shadow of a doubt that White House aid Vincent Foster
was murdered.
I believe we may well have the vital clues that lead right to
the Oval Office.
Think about that for just a moment, If our suspicions are
borne out, the Clinton Investigative Commission and its supporters
will have achieved what has been considered impossible: the
impeachment of a sitting U.S. President.

thousand-page budget proposal, no one would notice.
And, my friend, he was almost right.

"Campaign Tax" they are outraged. They didn't have
enough time to read the whole bill before they voted
on it
They have been betrayed. And they look stupid.
And if this Campaign Tax had been made public we
may well have had the one more vote needed to stop the
Clinton Tax Hike
As it was, thanks to your help, we lost by only
one vote in the House and one in the Senate. And I
feel confident that we will have enough votes.
I need your help to repeal the Campaign Tax:
You see, if we can force Congress to repeal the
Clinton Campaign Tax, Bill Clinton will have no choice
but to go along with it.
It will be a conflict of interest to do
otherwise.
And if Bill Clinton vetoes the repeal of the

Buchanan, and over 800 other conservative
journalists to get them to help repeal the
Clinton Campaign Tax;
If we can turn back the Clinton Campaign Tax, we
can go after the Gas Tax the raid on Social Security,
and the other Clinton taxes. We will show that
President Clinton can be stopped. But first we need
to stop this Campaign Tax.
I do need your help to carry out this program.

EXPLANATION OF AFL-CIO ISSUES
I. INITIATE OR STAND FOR; HIGH PROFILE
Minimum Wage
The Administration's strong support for the Minimum Wage increase
is crucial to Labor. Labor leaders are worried about wavering
support for the 90 cents increase among Democratic Congressional
leaders and know it will face strong opposition from Republicans.
They are prepared to wage a multi-year fight if necessary and
believe that the most politically acceptable strategy may be to
phase in the minimum wage over two years, perhaps 45 cents in each
of the next two years. The minimum wage is especially important to
public employee unions who represent a sector of the work force
which has not always been covered and for which wages are lower.
Executive Order: Striker Replacement
AFL-CIO leaders are seeking an Executive Order to deny federal
contracts to companies which have permanently replaced striking
union members. Another variant on this Executive Order would deny
federal contracts to employers who have violated labor laws, as
evidenced by NLRB judgements against them. Labor leaders feel that
such an Executive Order would have tremendous impact on rank and
file assessments of the Administration.
Executive Order: Neutrality Requirement
AFL-CIO leaders seek an Executive Order which would expand existing
statutory language in Head Start and the Job Training Partnership
Act more widely to prohibit employees who receive federal funds
from using those funds "to assist, promote or deter union
organizing".
II. OPPOSE; HIGH PROFILE
Davis-Bacon
Labor leaders expect a Republican effort to weaken or eliminate
Davis-Bacon. This is a major issue for Labor in general, but of
particular importance to the Building Trades. They worry that the
Administration's reinventing government proposals may include a
weakening of Davis-Bacon. This is a issue of immense importance to
Labor.
Weakening of Worker Protection
Labor expects Republican efforts to weaken OSHA, the NLRB and the
Fair Labor Standards Act. They urge defense of these statutes by
the Administration when the Republican assault begins.

III. INITIATE OR STAND FOR; LOW PROFILE
Time with the President: Lane Kirkland
Lane Kirkland has not spent one-on-one time with the President as
frequently as he has met with previous Presidents. Indeed, he has
spent less time personally with President Clinton than with any
recent President. He had numerous individual meetings, primarily
on matters of international security, with Presidents Reagan and
Bush. He met regularly with President Carter. And even though he
was then Secretary-Treasurer of the AFL-CIO serving under George
Meany, he was the principal labor contact with President Johnson
and met with him frequently. Reserving time on the President's
calendar for visits with Lane Kirkland, would be beneficial in
substantive and political terms.
NLRB Appointments
"The President has the opportunity to make another Democratic
appointment to the NLRB. As you know, he made a temporary recess
appointment of former Board member Truesdale. Both labor and the
Administration support Sarah Fox, a Kennedy staff member, for a
full term appointment to the NLRB. Negotiations to package the Fox
appointment with a Republican choice to fill a vacancy arising in
August continue. Labor supports linking the two appointments. The
appointment of a "solid" third Democrat to the Board (Fox) is
critical to labor". (From Bob Reich's memo, January 12, 1995)
Plan for American Flag Ships
The Maritime Unions strongly support Secretary Pena's plan for
American flag ships. While the Maritime Unions have smaller
memberships, they are very active and have strong alliances with
other unions. This issue is of surpassing importance to them
because it involves not only jobs, but addresses the question of
whether there will be any American flag ships on the high seas.
Executive Order Re: Retraining of Health Care Workers
Labor leaders seek an Executive Order to protect healthcare workers
in hospitals which are downsizing. The intention would be to
permit states to use Medicaid funding for the retraining of workers
in hospitals where restructuring and staff reductions are underway.
OSHA Coverage in the Public Sector
AFL-CIO leaders acknowledge that extending OSHA coverage to state
and local governments is an unacceptable unfunded mandate.
However, Labor argues that federal programs providing direct
funding to local and state governments should require compliance
with appropriate safety and health standards for public workers.

Worker Empowerment in Devolution
AFL-CIO leaders recognize that more and more federal programs will
be devolved to state and local governments. They feel strongly
that devolution should be accompanied by recommendations for labor-
management partnerships to empower workers, such as the NPR has
utilized in its federal reinvention work.
IV. FIGHT AGAINST WEAKENING OF WORKER PROTECTION IN THE
GENERALIZED SYSTEM OF PREFERENCES
This summer the Administration will confront renewal of the General
System of Preferences (GSP). It is expected that the Republicans
will seek to weaken worker rights. Republicans have said they will
not support any linkage between trade and worker's rights. Labor
is not asking for a new initiative, but a defense of worker
protection already in the GSP. They feel that the Republicans will
bluff and threaten to defeat GSP renewal in order to have worker
protection removed, but the Republicans know that business wants
this trade legislation and has lived with the labor protection
presently in the GSP. AFL-CIO leaders state clearly that they will
denounce a GSP accord without worker safeguards.

EXPLANATION OF AFL-CIO ISSUES
I. INITIATE OR STAND FOR; HIGH PROFILE
Minimum Wage
The Administration's strong support for the Minimum Wage increase
is crucial to Labor. Labor leaders are worried about wavering
support for the 90 cents increase among Democratic Congressional
leaders and know it will face strong opposition from Republicans.
They are prepared to wage a multi-year fight if necessary and
believe that the most politically acceptable strategy may be to
phase in the minimum wage over two years, perhaps 45 cents in each
of the next two years. The minimum wage is especially important to
public employee unions who represent a sector of the work force
which has not always been covered and for which wages are lower.
Executive Order: Striker Replacement
AFL-CIO leaders are seeking an Executive Order to deny federal
contracts to companies which have permanently replaced striking
union members. Another variant on this Executive Order would deny
federal contracts to employers who have violated labor laws, as
evidenced by NLRB judgements against them. Labor leaders feel that
such an Executive Order would have tremendous impact on rank and
file assessments of the Administration.

statutory language in Head Start and the Job Training Partnership
Act more widely to prohibit employees who receive federal funds
from using those funds "to assist, promote or deter union
organizing".

Davis-Bacon. This is a major issue for Labor in general, but of
particular importance to the Building Trades. They worry that the
Administration's reinventing government proposals may include a
weakening of Davis-Bacon. This is a issue of immense importance to
Labor.
Weakening of Worker Protection
Labor expects Republican efforts to weaken OSHA, the NLRB and the
Fair Labor Standards Act. They urge defense of these statutes by
the Administration when the Republican assault begins.

Lane Kirkland has not spent one-on-one time with the President as
frequently as he has met with previous Presidents. Indeed, he has
spent less time personally with President Clinton than with any
recent President. He had numerous individual meetings, primarily
on matters of international security, with Presidents Reagan and
Bush. He met regularly with President Carter. And even though he
was then Secretary-Treasurer of the AFL-CIO serving under George
Meany, he was the principal labor contact with President Johnson
and met with him frequently. Reserving time on the President's
calendar for visits with Lane Kirkland, would be beneficial in
substantive and political terms.
NLRB Appointments
"The President has the opportunity to make another Democratic
appointment to the NLRB. As you know, he made a temporary recess
appointment of former Board member Truesdale. Both labor and the
Administration support Sarah Fox, a Kennedy staff member, for a
full term appointment to the NLRB. Negotiations to package the Fox
appointment with a Republican choice to fill a vacancy arising in
August continue. Labor supports linking the two appointments. The
appointment of a "solid" third Democrat to the Board (Fox) is

The Maritime Unions strongly support Secretary Pena's plan for
American flag ships. While the Maritime Unions have smaller
memberships, they are very active and have strong alliances with
other unions. This issue is of surpassing importance to them
because it involves not only jobs, but addresses the question of
whether there will be any American flag ships on the high seas.
Executive Order Re: Retraining of Health Care Workers
Labor leaders seek an Executive Order to protect healthcare workers
in hospitals which are downsizing. The intention would be to
permit states to use Medicaid funding for the retraining of workers
in hospitals where restructuring and staff reductions are underway.
OSHA Coverage in the Public Sector
AFL-CIO leaders acknowledge that extending OSHA coverage to state
and local governments is an unacceptable unfunded mandate.
However, Labor argues that federal programs providing direct
funding to local and state governments should require compliance
with appropriate safety and health standards for public workers.

Worker Empowerment in Devolution
AFL-CIO leaders recognize that more and more federal programs will
be devolved to state and local governments. They feel strongly
that devolution should be accompanied by recommendations for labor-
management partnerships to empower workers, such as the NPR has
utilized in its federal reinvention work.
IV. FIGHT AGAINST WEAKENING OF WORKER PROTECTION IN THE
GENERALIZED SYSTEM OF PREFERENCES
This summer the Administration will confront renewal of the General
System of Preferences (GSP). It is expected that the Republicans
will seek to weaken worker rights. Republicans have said they will
not support any linkage between trade and worker's rights. Labor
is not asking for a new initiative, but a defense of worker
protection already in the GSP. They feel that the Republicans will
bluff and threaten to defeat GSP renewal in order to have worker
protection removed, but the Republicans know that business wants
this trade legislation and has lived with the labor protection
presently in the GSP. AFL-CIO leaders state clearly that they will
denounce a GSP accord without worker safeguards.

EXPLANATION OF AFL-CIO ISSUES
I. INITIATE OR STAND FOR; HIGH PROFILE
Minimum Wage
The Administration's strong support for the Minimum Wage increase
is crucial to Labor. Labor leaders are worried about wavering
support for the 90 cents increase among Democratic Congressional
leaders and know it will face strong opposition from Republicans.
They are prepared to wage a multi-year fight if necessary and
believe that the most politically acceptable strategy may be to
phase in the minimum wage over two years, perhaps 45 cents in each
of the next two years. The minimum wage is especially important to
public employee unions who represent a sector of the work force
which has not always been covered and for which wages are lower.
Executive Order: Striker Replacement
AFL-CIO leaders are seeking an Executive Order to deny federal
contracts to companies which have permanently replaced striking
union members. Another variant on this Executive Order would deny
federal contracts to employers who have violated labor laws, as
evidenced by NLRB judgements against them. Labor leaders feel that
such an Executive Order would have tremendous impact on rank and
file assessments of the Administration.
Executive Order: Neutrality Requirement
AFL-CIO leaders seek an Executive Order which would expand existing
statutory language in Head Start and the Job Training Partnership
Act more widely to prohibit employees who receive federal funds
from using those funds "to assist, promote or deter union
organizing".
II. OPPOSE; HIGH PROFILE
Davis-Bacon
Labor leaders expect a Republican effort to weaken or eliminate
Davis-Bacon. This is a major issue for Labor in general, but of
particular importance to the Building Trades. They worry that the
Administration's reinventing government proposals may include a
weakening of Davis-Bacon. This is a issue of immense importance to
Labor.
Weakening of Worker Protection
Labor expects Republican efforts to weaken OSHA, the NLRB and the
Fair Labor Standards Act. They urge defense of these statutes by
the Administration when the Republican assault begins.

III. INITIATE OR STAND FOR; LOW PROFILE
Time with the President: Lane Kirkland
Lane Kirkland has not spent one-on-one time with the President as
frequently as he has met with previous Presidents. Indeed, he has
spent less time personally with President Clinton than with any
recent President. He had numerous individual meetings, primarily
on matters of international security, with Presidents Reagan and
Bush. He met regularly with President Carter. And even though he
was then Secretary-Treasurer of the AFL-CIO serving under George
Meany, he was the principal labor contact with President Johnson
and met with him frequently. Reserving time on the President's
calendar for visits with Lane Kirkland, would be beneficial in
substantive and political terms.
NLRB Appointments
"The President has the opportunity to make another Democratic
appointment to the NLRB. As you know, he made a temporary recess
appointment of former Board member Truesdale. Both labor and the
Administration support Sarah Fox, a Kennedy staff member, for a
full term appointment to the NLRB. Negotiations to package the Fox
appointment with a Republican choice to fill a vacancy arising in
August continue. Labor supports linking the two appointments. The
appointment of a "solid" third Democrat to the Board (Fox) is

Plan for American Flag Ships
The Maritime Unions strongly support Secretary Pena's plan for
American flag ships. While the Maritime Unions have smaller
memberships, they are very active and have strong alliances with
other unions. This issue is of surpassing importance to them
because it involves not only jobs, but addresses the question of
whether there will be any American flag ships on the high seas.
Executive Order Re: Retraining of Health Care Workers
Labor leaders seek an Executive Order to protect healthcare workers
in hospitals which are downsizing. The intention would be to
permit states to use Medicaid funding for the retraining of workers
in hospitals where restructuring and staff reductions are underway.
OSHA Coverage in the Public Sector
AFL-CIO leaders acknowledge that extending OSHA coverage to state
and local governments is an unacceptable unfunded mandate.
However, Labor argues that federal programs providing direct
funding to local and state governments should require compliance
with appropriate safety and health standards for public workers.

Worker Empowerment in Devolution
AFL-CIO leaders recognize that more and more federal programs will
be devolved to state and local governments. They feel strongly
that devolution should be accompanied by recommendations for labor-
management partnerships to empower workers, such as the NPR has
utilized in its federal reinvention work.
IV. FIGHT AGAINST WEAKENING OF WORKER PROTECTION IN THE
GENERALIZED SYSTEM OF PREFERENCES
This summer the Administration will confront renewal of the General
System of Preferences (GSP). It is expected that the Republicans
will seek to weaken worker rights. Republicans have said they will
not support any linkage between trade and worker's rights. Labor
is not asking for a new initiative, but a defense of worker
protection already in the GSP. They feel that the Republicans will
bluff and threaten to defeat GSP renewal in order to have worker
protection removed, but the Republicans know that business wants
this trade legislation and has lived with the labor protection
presently in the GSP. AFL-CIO leaders state clearly that they will
denounce a GSP accord without worker safeguards.
