When getting my hair cut I asked my barber what she thought about the election.
She said something like:

Dear Mr. Baker:
Hopefully, as experienced and erudite as you are, you
have anticipated all potential surprises that may sur-
face during the closing days of this Presidential race.
However, I trust that you have already considered the
exact wording of an announcement that the Republican
Party would make should one recurring rumor materialize.
That rumor is that at the eleventh hour, Ross Perot,
who has a hidden vendetta against George Bush, will make
a last minute grandstand play of throwing his support to
Bill Clinton.
If such an ignominious act occurs, it should be exposed
for its despicable vindictiveness. But, the language of
the Republican response should be of one voice yours.
It should be uniformly stated nationwide.
We want to avoid knee jerk "off the wall" statements made
by other Bush staff personnel. Such individually composed
replies, that do not reflect your diplomatic compositions,
could alienate the Perot or undecided voter, turning them
away from our President. We want to bring back into the
fold these people who would recognize such abhorrent con-
duct of Perot's for its utter treachery.
Let's hope that this dinner or cocktail gossip does not
materialize and becomes nothing more than just a rumor.

Dear Mr. Baker
I am writing this letter in support of president George
Bush's re-election bid, with hope that you can share these
thoughts with the president.
The president should express the fundamental belief
underlying the decisions and policies being made. While it has
not been clearly promoted, I believe president Bush's philosophy
closely resembles what I perceive most people feel, that is, All
life is special and that human life is most precious.
This belief is the basis for the support of the unborn, our
policies for the economy, ecology, and foreign affairs. People
are drawn to living things, that's why so many people have plants
or pets. Humans are at the top of the order of all living
things. That is why, when it comes to saving a human life or an
endangered species, people get top priority. This is also why we
give humanitarian aid to foreign countries, to stop starvation or
help out when natural disasters strike, even though there is no
monetary benefit for our country. It is basically a moral
decision based on the fundamental belief mentioned above. This
humanitarian aid is done both abroad and within our country (i.e.
hurricane Andrew federal disaster aid).
With human life being most precious, it follows that family
values takes such importance, for the family unit is where a
human life has its beginning. The family unit with its values,
is the basic fabric of our society. This is an important issue
in how we govern ourselves. We cannot expect our government to
care for society, more than the basic fabric of our society, the
family unit, respects and supports its own children.
It is this policy or fundamental belief in the importance of
life that sets President Bush ahead of the other candidates.
Their fundamental belief must be something other life. Governor
Clinton's driving force is probably power or a desire to be
president and change the world. Mr. Perot appears to believe in
money and profit. One only needs to look at their actions, both
political and personal. That is why they don't care about or
consider an unborn person worth saving. They apparently do not
share the fundamental belief stated above, that all life is
precious.
I believe that our country needs a moral leader who
believes life is precious. It was the pursuit of religious
freedom, and freedom to be all that you can, that brought our
founding fathers to this country. Our constitution and all its
amendments uphold this belief in life, liberty, and the pursuit
of happiness. It is because of this belief that our constitution
and our laws ban discrimination, and protect the rights of
everyone, including minorities, handicapped, the elderly, and
those who cannot speak for themselves. I believe President Bush
is only one who has this respect for life and therefore the best
choice to uphold the constitution of the United States.
While our constitution is for life, liberty, and the pursuit
of happiness, our government cannot mandate that citizens care
for one another. (This one reason for vetoing the recent
maternity leave.) We can, however, offer incentives, i.e. tax
abatements, to encourage people to help others.
The support for life is not always easy. Abraham Lincoln
faced a difficult moral decision to uphold the constitution when
he did away with slavery. This was not an economic decision. It
may have been easier to try to please both sides or to try to
make some compromises. President Lincoln decided to uphold the
the rights of those who were not allowed to speak for themselves.
This was a decision that literally split our country. Yet,
Lincoln is not remembered only as the president who caused a
civil war, or caused a costly bloody war, rather he is a
president remembered for upholding a freedom which our country
holds so dearly. I believe President Bush is the only candidate
who seems to believe in that which truly makes our country so
great
the sanctity of life, the power of our liberty, and
the strength of being able to pursue what ever we want to be.
Our freedom has only one bound. We are free up to the point
where we begin to take away another persons rights. Our freedom
also carries responsibilities, this is why one cannot shout fire
in a crowed theater. A couple also has a responsibility when
choosing to have a child, to support and take care of that child.
It is the responsibility along with of a woman's right to choose,
that has that has received so much publicity lately. A woman has
a right to choose, and should decide on when to have a child. If
a woman has an unwanted pregnancy, however, it is not a choice
to simply kill this other life which cannot speak for himself. It
is a sad reflection on our society when a woman feels that
material priorities are greater than a human life.
There are many areas of responsibility that the president
has during his term of office. Who could have predicted 4 years
ago the war with Iraq. Who would best for our country if
something like that happens in the next 4 years. I believe that
George Bush is most qualified to serve the interest of the United
States and preserve our constitution.

While time is running short, I believe it would helpful for
the president's reelection bid to address the nation with the
thoughts I have expressed here. In a democracy the most
qualified is not always chosen, but still, it is the choice of
the people. I have not mentioned religion in this letter, but
feel that President Bush will do well if he searches within his
heart for the wisdom and words to address the nation, and ask God
to guide the nation in our selection. More than this, one cannot
ask.
I do seek or want any publicity and request your confidence
with this letter. I will however, be glad to answer any
questions on this letter.

Dear Mr. Baker:
As an ordinary citizen watching the debates as well as other
appearances and writings of and about the candidates for the
upcoming election, I have had some questions about issues raised in
the Clinton campaign that I feel could be used to highlight the
differences between the candidates, which I feel would benefit
President Bush. I have not seen a very hard display of these items
to this time,
1. Governor Clinton puts great emphasis on the Arkansas
record of job creation. I believe the figure he uses is
17,000 jobs created. I believe that issue should be
looked at closely. If those jobs were attracted to
Arkansas by whatever means from other states, the jobs
were, in fact, not "created" but simply "transferred"
from other parts of the United States. While this process
may be successful for a governor, its methods are clearly
not applicable to the national efforts of economic
recovery.
2. Some TV time dedicated to the detailed record comparison
of both candidates may be helpful. Sitting here on the
public side, I have heard some sound bite statistics on
the successes of Arkansas, but percentage improvement,
etc. Some concrete rankings in education, income, etc.
would be a possibility to turn around the election.
President Bush hit them briefly in the third debate, but
I don't believe enough hard information came out in the
time he had.
3. Both ABC and NBC have aired programs recently on the
details of the Cuban Missile Crisis, brought about largely
from the Bay of Pigs incident of 1961. The programs both
indicated that the President was surrounded by very able
advisors, (many of the Cabinet Members were from the
famous think tank President Kennedy assembled) who
strongly pressed for both extremes of action. Yet, most
actions were taken not knowing what was happening on the
other side, and with power on the Soviet side dispersed
among politicians, military generals, and third world
leaders. Only now do we know how desperately close
nuclear war was. Could this not be used in a way that
that could show the value of world leadership experience.
Placing the experience needed with advisors in situations
such as this is not only less desirable but could, in
fact, be detrimental to a president who had to weight the
confusion of an assortment of opinions in a crisis.
The breakup of the Soviet Union has already caused
problems among smaller nations in Eastern Europe. And
there is certainly knowledge of third world countries
trying to purchase nuclear arms. This could prove
disastrous if a president needed to get some on the job
training at this point. (The Bay of Pigs was Only 4
months into the Kennedy Presidency.) Certainly enough
time has not passed since the Kennedy assassination for
historians to objectively evaluate the Kennedy presidency,
so the efforts must be made without critical commentary
against President Kennedy, but the essence of the crisis
could, I am sure, be brought forth.
I hope you look at this letter as suggestions to help the
campaign, and not as someone who is attempting to tell you how to
do your job. You may have already looked at these subjects. If
so it is a quick throw to the trash can. However, just in case
of the one in a million chance that you will even get to read this
letter or feel that the suggestions may be of some value, I feel
that the letter is worth writing. If it were not sent and could
have been of some use, I and the country would be in far worse
shape.

Dear President Bush:
Thank you for your reply of September 10, 1992 to my Express
Mail Letter of August 5, 1992, copies of which are attached
hereto. Since then, I have continued to follow events closely,
make notes and make contributions - over 25 this year.
First of all, regarding Unemployment, does your plan to
improve our Domestic Economy have a definite Priority program for
retraining all Unemployed who request it? Incidentally, aren't
many of them from the Reduced Military Forces or from Companies
who have lost Military contracts? Also, aren't many of these
already well-educated and trained who could be hired as Teachers
for Retraining others? Isn't there some way to find enough
additional money out of the Defense Budget to earmark directly
for part of the cost of this Short-Range program? Could the rest
come from the States and from Industry for a Coordinated Program
to get them off Welfare and into Jobs? Isn't there some way that
you, by a Presidential Directive in this Unemployment Emergency,
put this action together without having to go to Congress?
Next, I am even more convinced of the need to establish a
new "Department of Domestic Economy" as proposed in my attached
letter. For starters, the establishment of this Department
should turn the Focus of the voters toward your plans for a
Solution of the Economy problem.

We constantly hear the very important single figure "Gross
Domestic Product" and we need a "Department" of Cabinet stature
to devote full time to monitoring and spotting weaknesses more
quickly in this, one of the most important single areas of
concern in the world. It is not intended as more Big Government
to interfere with Business. Just the opposite, it would assist
both Big and Small Business to grow and prosper more
competitively in this Global Marketplace by having Government be
more "user friendly".
I get the impression that you, President Bush, have the
Vision of restoring America to its position as the World Leader
in the Production and Sales of High Quality Products and
Services. Long Range, of course, this is where new good Jobs
will be created. I know that you, with Carla Hill and others,
have done a lot, and I would like to hear you publicly express
this Vision more frequently.
A huge disproportionate share of the Talent, Energies, Time
and Resources of we Americans has been of necessity devoted to
Global Defense and the Cold War for several Decades and we won.
Now we must have an equally well-coordinated and intense
Program - almost a Crash Program - to quickly recover from the
above and efficiently compete in this Global Marketplace and
expand our Domestic Economy. Other Nations whom we sheltered and
protected the most, primarily at our expense, are now outselling
us at home and abroad.
Now, on a related but different aspect of this Problem: The
disagreement for some time as to whether we were in a Recession
tells me that in today's Global Economy, we no longer have
"Diagnostic Tests" that are accurate or sensitive enough to spot
the Illness in our Economy early enough - we need a New and
Advanced "Early Warning System." The ever-increasing negative
effects of the Global Economy interacts like a communicable
disease and is on us before we know it.
There is often up to a 180 degree difference in statements
not only by Politicians but by well-known Economists regarding
the state of our Domestic Economy, the causes of same and whether
we are or are not recovering. No wonder the voters are more
confused than ever before and are being Emotionally manhandled by
all of the clever but meaningless accusations and promises by
Clinton and Company.
With Super-Computers plus the most talented Economists,
Managers and Computer Specialists including Software Geniuses in
the world, can't we immediately institute a Crash Program to feed

in enough Raw Data from the last 10+ years and by Simulation
Procedures, spot the most Critical Weaknesses of our present
procedures and "Tests"? Hopefully, we may discover better and
more sensitive new Tests for today's Economy.
I fall back on the old adage "One good Test is worth a
thousand expert opinions". Although there may already be
scattered R & D efforts on this, we still have the problem and
need to coordinate and speed up such efforts.
To conclude, President Bush, you are held by us as the
Leader in World Affairs, have close personal ties with the other
Leaders, and we have confidence in you. You have already met
with them many times on World Economic Problems.
In addition to your continued efforts to get a good GATT
agreement, I presume that you have other ongoing joint programs
with these Leaders. In this critical time, such programs could
well be jeopardized by "changing horses in the middle of the
stream". Could this factor be emphasized more?

President Bush has asked me to thank you for your letter.
The President appreciates having the benefit of your views.
The President shares your concern about the need for an
economic plan for the future. As you probably know, back in
January President Bush outlined in the State of the Union
Address both a short- and long-term plan to get the economy
moving again. Among the initiatives that he proposed were a
cut in the capital gains tax to stimulate investment and tax
credits for first-time homebuyers. Business and industry
need incentives to create jobs and opportunities, and the
Administration will continue to press for the establishment
of enterprise zones and, measures such as the North American
Free Trade Agreement and GATT, to open markets for U.S. goods
and services. As you know, the President's economic
initiatives must be passed by Congress. Regrettably, the
Democrat leadership has blocked action on the President's
pro-growth agenda.
The President has dispatched a task force, consisting of
several agencies -- CEA, Treasury, OMB, Commerce -- which is
designed to make a coordinated efforts to get the economy
moving. Clearly, the Administration has made a serious
commitment to resolve our economic programs, and the programs
are in place to accomplish this. It is now up to Congress to
pass these proposals or to present viable alternatives to
ensure future prosperity for all Americans.

Dear President Bush:
As a longtime active member of our Party, I have written a
few letters this past year to and am glad to have received good
personal replies from Secretary Clayton Yeutter, Senator Phil
Gramm, Chairman Richard Bond and have talked to Jim Dignan,
Chairman of the California Republican Party. In these letters, I
listed some examples of negative perceptions by the average voter
which I hope can be corrected. Some may require changes in key
personnel. Also, I have hope that a powerful bloc of
Conservative Republicans will soon realize that if they hold you
hostage to some of their policies and practices which cause you
to lose the Election, they will end up with nothing.
In these letters, I also proposed a basic change in our
Constitution to go along with the Term Limitation Program which I
support. This change would extend the 2-year term of
Representatives to 4 years, thus giving them time to do the job
for which they were elected. Now, they no sooner get into office
than they have to start their campaign to get re-elected with
Special Interest groups unduly influencing their votes - see
attached two letters.
Below, I am now proposing two more Positive Actions, both
designed to get and keep a better handle on our Domestic Economy.
One is an immediate Short Term Action and then a basic Long Term
change. On July 10, 1992, I again called Secretary Yeutter's
office and asked his secretary, Ms. Sharon Marshall, how I should
proceed with this Long Term Proposal and she correctly said that
it was entirely up to me and that I was welcome to write a
personal letter directly to you, President Bush.

I hope that whoever opens this letter for you will take it
seriously without delay and refer it to you personally. It is
meant to be helpful right now for your critical Campaign - I am
also sending a copy to Secretary Yeutter.
Long Range, our Domestic Economy seems to have become too
huge and complicated, including becoming more and more
intertwined with Worldwide Economies to continue to be handled
with the present Split Responsibilities between the Major
Departments of your Cabinet. President Bush, with all due
respect to everyone now involved, it seems to me that you need to
establish a new "Department of Domestic Economy". Its Secretary
of Cabinet Rank would assume Full Responsibility on a full-time
basis to better monitor, coordinate, and assist with
strengthening the Factors which affect our Domestic Economy. It
has a life of its own and produces our Gross Domestic Products
and Services. The history of our critical Economic downturns
since World War II and including our current Recession indicates
to me that we still need to develop more Sensitive and Reliable
measures of our Economy plus a much better Early Warning System
to immediately report any weakness that heads us toward the
Ditch.
I am glad, President Bush, that you took a First and
Important Step by appointing Secretary Clayton Yeutter to this
new post of Counsellor for Domestic Policy and I now feel that
you need to set up this new Department. Since this Long Term
program will take time, especially if it requires the o.k. of
Congress, I propose the following Short Term program which I
assume you could set up immediately. May I say that this
Proposal is by no means intended to cause Big Government to
interfere with Business, but just the opposite. This new
Department of Domestic Economy is intended to assist both Big and
Small Businesses to grow and prosper more competitively by
working with other Departments and Agencies to minimize
Roadblocks, streamline Regulations and reduce Delays. In other
words, to use a current Computer Industry term, to make the
Government more "User Friendly" to our Domestic Economy. For
example, it is reported that it often takes 9 to 10 years for
products of our Research and Development Labs to reach the
marketplace VS. approximately 3 years in Japan and Germany.
Now to my Short Term Proposal: Aren't the major factors
which affect our Domestic Economy included in the
responsibilities of the Departments headed by the Secretaries in
your Cabinet? President Bush, couldn't you, as an Emergency
measure, immediately form these Cabinet officers into an ad hoc
Task Force headed up by James Baker, for example. Charge them to

formulate a Battle Plan of Action within 30 days to further
identify and more quickly reverse the Factors which have caused
this Recession and increased Unemployment. With coordinated and
focused effort, and using their already in-place Staffs, couldn't
they do this more quickly and effectively than an outside
committee?
President Bush, I, think of this Task Force on Domestic
Economy as a Parallel to the Defense Department where the Joint
Chiefs of Staff, headed by Chairman General Colin Powell, working
with Secretary Dick Cheney and under your General Command,
quickly marshalled the other United Nations members together and
won the Persian Gulf war. Your objective and resolve were
clearly stated and you convinced the American people to support
you.
I'm sure that by now, this comes as no surprise to you that
those to whom I have listened out here in the Grass Roots area
clearly feel that a more Coordinated and Intensive effort is long
overdue and is needed to improve our Domestic Economy and
generate more Jobs. They are not convinced of a gradual
improvement and believe that Congress will continue to stall on
your long-requested Programs. New and dramatic Actions are
required in this real Emergency! If we can't buck through the
stubborn center of the line, shouldn't we vary the Tactics and
try some End Runs?
President Bush, I admire you greatly as a man of Honor and
tremendous Experience and Determination. Maybe some
understandable Emotions leading you to overlook poor advice and
performance by Senior Managers have caused you to hesitate lately
but you can overcome that. The average voter needs Dramatic
Evidence and Proof by new Intensive Programs that your No. 1
Priority is an Increase in our Economy and Employment. My Dad
always told me that Actions speak louder than words.

supplement and to emphasize the Ideas proposed in my attached
letter of August 5, 1992.
I realize the press of time and rewrote this letter several
times to make it more concise and hope that you receive it
personally.
My wife and I are doing all that we can to support you as
you will note from my References and the first paragraph in my
letter.
I become very enthusiastic when I think of the Future and,
drawing upon my 40+ years of Business Experience (management), I
hope you will find these suggested Actions to be sound.

Dear President Bush:
Thank you for your reply of September 10, 1992 to my Express
Mail Letter of August 5, 1992, copies of which are attached
hereto. Since then, I have continued to follow events closely,
make notes and make contributions - over 25 this year.
First of all, regarding Unemployment, does your plan to
improve our Domestic Economy have a definite Priority program for
retraining all Unemployed who request it? Incidentally, aren't
many of them from the Reduced Military Forces or from Companies
who have lost Military contracts? Also, aren't many of these
already well-educated and trained who could be hired as Teachers
for Retraining others? Isn't there some way to find enough
additional money out of the Defense Budget to earmark directly
for part of the cost of this Short-Range program? Could the rest
come from the States and from Industry for a Coordinated Program
to get them off Welfare and into Jobs? Isn't there some way that
you, by a Presidential Directive in this Unemployment Emergency,
put this action together without having to go to Congress?
Next, I am even more convinced of the need to establish a
new "Department of Domestic Economy" as proposed in my attached
letter. For starters, the establishment of this Department
should turn the Focus of the voters toward your plans for a
Solution of the Economy problem.

We constantly hear the very important single figure "Gross
Domestic Product" and we need a "Department" of Cabinet stature
to devote full time to monitoring and spotting weaknesses more
quickly in this, one of the most important single areas of
concern in the world. It is not intended as more Big Government
to interfere with Business. Just the opposite, it would assist
both Big and Small Business to grow and prosper more
competitively in this Global Marketplace by having Government be
more "user friendly".
I get the impression that you, President Bush, have the
Vision of restoring America to its position as the World Leader
in the Production and Sales of High Quality Products and
Services. Long Range, of course, this is where new good Jobs
will be created. I know that you, with Carla Hill and others,
have done a lot, and I would like to hear you publicly express
this Vision more frequently.
A huge disproportionate share of the Talent, Energies, Time
and Resources of we Americans has been of necessity devoted to
Global Defense and the Cold War for several Decades and we won.
Now we must have an equally well-coordinated and intense
Program - almost a Crash Program - to quickly recover from the
above and efficiently compete in this Global Marketplace and
expand our Domestic Economy. Other Nations whom we sheltered and
protected the most, primarily at our expense, are now outselling
us at home and abroad.
Now, on a related but different aspect of this Problem: The
disagreement for some time as to whether we were in a Recession
tells me that in today's Global Economy, we no longer have
"Diagnostic Tests" that are accurate or sensitive enough to spot
the Illness in our Economy early enough - we need a New and
Advanced "Early Warning System." The ever-increasing negative
effects of the Global Economy interacts like a communicable
disease and is on us before we know it.
There is often up to a 180 degree difference in statements
not only by Politicians but by well-known Economists regarding
the state of our Domestic Economy, the causes of same and whether
we are or are not recovering. No wonder the voters are more
confused than ever before and are being Emotionally manhandled by
all of the clever but meaningless accusations and promises by
Clinton and Company.
With Super-Computers plus the most talented Economists,
Managers and Computer Specialists including Software Geniuses in
the world, can't we immediately institute a Crash Program to feed

in enough Raw Data from the last 10+ years and by Simulation
Procedures, spot the most Critical Weaknesses of our present
procedures and "Tests"? Hopefully, we may discover better and
more sensitive new Tests for today's Economy.
I fall back on the old adage "One good Test is worth a
thousand expert opinions". Although there may already be
scattered R & D efforts on this, we still have the problem and
need to coordinate and speed up such efforts.
To conclude, President Bush, you are held by 118 as the
Leader in World Affairs, have close personal ties with the other
Leaders, and we have confidence in you. You have already met
with them many times on World Economic Problems.
In addition to your continued efforts to get a good GATT
agreement, I presume that you have other ongoing joint programs
with these Leaders, In this critical time, such programs could
well be jeopardized by "changing horses in the middle of the
stream". could this factor be emphasized more?

Dear Mr. Hairgrove:
President Bush has asked me to thank you for your letter.
The President appreciates having the benefit of your views.
The President shares your concern about the need for an
economic plan for the future. As you probably. know, back in
January President Bush outlined in the State of the Union
Address both a short- and long-term plan to get the economy
moving again. Among the initiatives that he proposed were a
cut in the capital gains tax to otimulate investment and tax
credits for first-time homebuyers. Business and industry
need incentives to create jobs and opportunities, and the
Administration will continue to prose for the establishment
of enterprise zones and, measures such as the North American
Free Trade Agreement and GATT, to open markets for U.S. goods
and services. As you know, the President's economic
initiatives must be passed by Congress. Regrettably, the
Democrat leadership has blocked action on the President's
pro-growth agenda.
The President has dispatched a task force, consisting of
several agencies -- CEA, Treasury, OMB, Commerce -- which is
designed to make a coordinated efforts to get the economy
moving. Clearly, the Administration has made a serious
commitment to resolve our economic programs, and the programs
are in place to accomplish this. It is now up to Congress to
pass these proposals or to present viable alternatives to
ensure future prosperity for all Americans.

Dear President Bush:
As a longtime active member of our Party, I have written a
few letters this past year to and am glad to have received good
personal replies from Secretary Clayton Yeutter, Senator Phil
Gramm, Chairman Richard Bond and have talked to Jim Dignan,
Chairman of the California Republican Party. In these letters, I
listed some examples of negative perceptions by the average voter
which I hope can be corrected. Some may require changes in key
personnel. Also, I have hope that a powerful bloc of
Conservative Republicans will soon realize that if they hold you
hostage to some of their policies and practices which cause you
to lose the Election, they will end up with nothing.
In these letters, I also proposed a basic change in our
Constitution to go along with the Term Limitation Program which I
support. This change would extend the 2-year term of
Representatives to 4 years, thus giving them time to do the job
for which they were elected. Now, they no sooner get into office
than they have to start their campaign to get re-elected with
Special Interest groups unduly influencing their votes - see
attached two letterst Secretary yearter.
Below, I am now proposing two more Positive Actions, both
designed to get and keep a better handle on our Domestic Economy.
One is an immediate Short Term Action and then a basic Long Term
change. On July 10, 1992, I again called Secretary Yeutter's
office and asked his secretary, Ms. Sharon Marshall, how I should
proceed with this Long Term Proposal and she correctly said that
it was entirely up to me and that I was welcome to write a
personal letter directly to you, President Bush.

I hope that whoever opens this letter for you will take it
seriously without delay and refer it to you personally. IL is
meant to be helpful right now for your critical Campaign - I am
also sending a copy to Secretary Yeutter.
Long Range, our Domectic Economy seems to have become too
huge and complicated, including becoming more and more
intertwined with Worldwide Economies to continue to be handled
with the present Split Responsibilities between the Major
Departments of your Cabinet. President Bush, with all due
respect to everyone now involved, it seems to me that you need to
establish a new "Department of Domestic Economy". Its Secretary
of Cabinet Rank would assume Full Responsibility on a full-time
basis to better monitor, coordinate, and assist with
strengthening the Factors which affect our Domestic Economy. It
has a life of its own and produces our Cross Domestic Products
and Services. The history of our critical Economic downturns
since World War II and including our current Recession indicates
to me that we still need to develop more Sensitive and Reliable
measures of our Economy plus a much better Early Warning System
to immediately report any weakness that heads us toward the
Ditch.
I am glad, President Bush, that you took a First and
Important Step by appointing Secretary Clayton Yeutter to this
new post of Counsellor for Domestic Policy and I now feel that
you need to set up this new Department. Since this Long Term
program will take time, especially if it requires the o.k. of
Congress, I propose the following Short Term program which I
assume you could set up immediately. May I say that this
Proposal is by no means intended to cause Big Government to
interfere with Business, but just the opposite. This new
Department of Domestic Economy is intended to assist both Big and
Small Businesses to grow and prosper more competitively by
working with other Departments and Agencies to minimize
Roadblocks, streamline Regulations and reduce Delays. In other
words, to use a current Computer Industry term, to make the
Government more "User Friendly" to our Domestic Economy. For
example, it is reported that it often takes 9 to 10 years for
products of our Research and Development Labs to reach the
marketplace VS. approximately 3 years in Japan and Germany.
Now to my Short Term Proposal: Aren't the major factors
which affect our Domestic Economy included in the
responsibilities of the Departments headed by the Secretaries in
your Cabinet? President Bush, couldn't you, as an Emergency
measure, immediately form these Cabinet officers into an ad hoc
Task Force headed up by James Baker, for example. Charge them to

formulate a Battle Plan of Action within 30 days to further
identify and more quickly reverse the Factors which have caused
this Recession and increased Unemployment. with coordinated and
focused effort, and using their already in-place Staffs, couldn't
they do this more quickly and effectively than an outside
committee?
President Bush, I think of this Task Force on Domestic
Economy as a Parallel to the Defense Department where the Joint
Chiefs of Staff, headed by Chairman General Colin Powell, working
with Secretary Dick Cheney and under your General Command,
quickly marshalled the other United Nations members together and
won the Persian Gulf war. Your objective and resolve were
clearly stated and you convinced the American people to support
you.
I'm sure that by now, this comes as no surprise to you that
those to whom I have listened out here in the Grass Roots area
clearly feel that a more Coordinated and Intensive effort is long
overdue and is needed to improve our Domestic Economy and
generate more Jobs, They are not convinced of a gradual
improvement and believe that Congress will continue to stall on
your long-requested Programs. New and dramatic Actions are
required in this real Emergency! If we can't buck through the
stubborn center of the line, shouldn't we vary the Tactics and
try some End Runs?
President Bush, I admire you greatly as a man of Honor and
tremendous Experience and Determination. Maybe some
understandable Emotions leading you to overlook poor advice and
performance by Senior Managers have caused you to hesitate lately
but you can overcome that. The average voter neede Dramatic
Evidence and Proof by new Intensive Programs that your No. 1
Priority is an Increase in our Economy and Employment. My Dad
always told me that Actions speak louder than words.

At the age of 42, I have supported every Republican Presidential candidate since I was old
enough to understand American politics in the days of Barry Goldwater.
In the past, you have asked for my support. It is because of my support for Messers Bush,
Quayle, and the Republican party, I am writing this letter.
Most people are ill-informed as to why the economy is in such poor shape. Therefore, I think
there is a non-partisan message that should be delivered to the public.

Washington, Sept. 11, 1992
Jolts from defense cuts will go on for another five or six years.
Sharp reductions in weapon systems, fighter planes, ships and submarines.
Base closings all around the country and cutbacks in military personnel.
A big factor in economic woes, both in this country and overseas.
Collapse of the Soviet Union and subsequent steps toward demilitarization
contribute to hard times here downsizing of defense firms and layoffs.
And floods of refugees add to unemployment and sluggishness in W. Europe.
It won't kill the recovery, but it's a definite drag on growth.
Think of it as a post-war transition at the end of the Cold War.
Similar to past post-war adjustments, including after Vietnam
military personnel and defense companies looking for something new to do.
And politicians talking of "peace dividends," how to carve up the melon.
But with one crucial difference: After World War II and Korea,
there was tremendous pent-up demand for houses, appliances and new cars.
This time, there is hardly any. Consumers are paying off their debts.
Personal incomes are barely rising, and there aren't many job openings.
For perspective: Close to a million defense jobs will be lost
between
now and '95 military personnel, civilians in the Defense Dep't
and employees of defense contractors, subcontractors and other suppliers.
That compares with roughly 25 million people released following WW II
half in defense industry jobs, the rest in the armed services or gov't.
And the shift away from Cold War preparedness will be slower,
phased down from now to the late '90s
lessening the short-term impact.
Military spending now accounts for about 5% of our total economy.
It has been declining since '86, when it was running a little below 7%.
During Vietnam, it climbed to 10%. Korea, near 15%. World War II, 40%.
It will drop to 34% or less by '97, the lowest in about 50 years.
Biggest impact in coastal states, where defense is clustered
Calif., Hawaii, Alaska, Wash., Texas, Miss., Ala., Fla., Ga., S.C., N.C.,
Va., Md., Pa., N.Y., Conn., R.I., Mass., N.H., Maine. Also Wash., D.C.
And on suppliers of all sorts, everything from missiles to boots.
A few companies will benefit from a leaner, more nimble military.
It will mean more orders for smart bombs & missiles, stealth technology,
faster sealift equipment and more-sophisticated communications gear.
Some contractors will shift to civilian work, a hard transition.
One company, for example, using military technology for optical scanners
at post offices. Others will consolidate, merge or go out of business.
Net: Defense cuts will slow economic growth in the short term
due to downsizing & restructuring
impact varying by industry and area.
But over the long haul the next decade or so cuts will save money,
make deficit control more possible and result in more private spending.

One month to go before Congress calls it quits for this year.
And lots of work to do, including major gov't spending bills.
Many things will be left undone due to election-year politics.
No final action on the North American free-trade deal. Health care.
Campaign finance. Gun control and anticrime. Or sweeping tax changes.
Cable TV reregulation may squeak by despite stiff opposition.
Family leave no. Congress won't be able to override a veto.
Hurricane aid yes. But no money for rebuilding Homestead AFB.
Aid for the former USSR too $1.2 billion in direct assistance
and another $12 billion as the U.S. share of an Int'l Monetary Fund pool.
Plus $10 billion in loan guarantees for Israel over five years.
Energy legislation will pass
stricter efficiency standards,
incentives for small independent power producers to sell electricity,
simpler approval for nuclear power and breaks for independent drillers.
Bush and Congress will battle over spending. Look for vetoes
of a couple spending bills, including one to keep Congress operating.
Probably a bare-bones tax bill that extends the current breaks
for employer-paid college tuition, health insurance for self-employeds
and research & development spending. A good chance for enterprise zones
and an end to federal luxury taxes on furs, boats, jewelry and aircraft.
But no economic pump priming from Congress, the White House
or Federal Reserve. The weak dollar and high debt allow little leeway.
It will take an extra shove to get the economy moving faster.
Democrats think Bush ought to do more to stimulate business and jobs.
Republicans blame Congress for blocking tax relief and other changes.
The fact is, business itself will have to provide the shove.
That will come about only through thousands of individual decisions
all around the country. There are some early signs of stirring.
For example, we just talked with a sales manager from Michigan
who sells to Caterpillar and other large manufacturers in the Midwest.
Year after year, they order for delivery up to Dec. 31 but no later.
Means downtime for suppliers at year end and rush jobs right after.
The sales manager and his staff decided to call on buyers now
to see if they could persuade them to firm up their orders for Jan
a first-month, first-quarter push. "Adjustable, tell us what you want." =
So far, many customers have been willing to order AT LEAST into mid-Jan.
That's how the ball gets rolling business creating business.

A Special Message from Austin Kiplinger

The Kiplinger Washington Letter has just begun its 70th year.
First issue was published Sept. 29, 1923. Coolidge had been President
for only a few weeks. The economy was making a good post-war adjustment
except for the farm sector. Women had only recently won the right to vote.
During these seven decades we've reported on wars big & small
a depression, more than a dozen recessions, several big economic expansions.
Also the baby boom, yuppies, Cold War, arms race and collapse of Communism.
Right now, it is important to keep a sharp perspective on things,
especially on Washington and the economy what the real situation
is.
Also what Washington CAN and CAN NOT do about business conditions
who really runs things
and what produces economic vigor in the U.S.
Washington doesn't "run" our economy. Can't "jump start" it
like a car with a drained battery. Recovery never was easy to manage,
but it's even more tricky today in an interdependent world economy.
The U.S. economy is run by millions of private decision-makers.
And this isn't a typical economic slowdown we're going through.
It's a worldwide change
new technology, higher productivity.
Involves new industrial nations, not just backward third-world countries,
downsizing of corporations everywhere, competition in world markets,
and rising world trade despite the political appeal of protectionism.
Basically a return to individual decision-making in business
the marketplace. Also in politics
democracy vs. totalitarianism.
On balance, U.S. still does well in this worldwide atmosphere.
The American economy, despite criticism of ourselves, is still No. 1.
Per capita nat'l output leads the world $21,500 vs. Germany's $18,300
and Japan's $17,600, measured the same way in real purchasing power.
Helping keep the U.S. on top are two things often underestimated
by most experts
the spirit and the resilience of the American people.
Our editorial policy has never changed, no plans to change it now.
We still do it the way my father explained to the New York Times in 1923:
"I believe in plain, simple language without useless verbiage.
Our attitude will be completely non-partisan. We know how to separate
hot air from sincerity. We will not hesitate to deflate and debunk
pure political hokum. That way our clients will be able to assess
realistically the intent and probable end result of Washington activity.
We will report what businessmen need to know to look ahead and make
the decisions that help them stay ahead."

One of the secretaries telephoned acknowledgment of receipt of my October 11 letter, so I thank
you (copy enclosed, just in case).
The message seems not to be getting through to the voters. At this juncture you need to get the
President off that train and craft two-three fireside chats from the White House. What's lacking
is a sense of eyeball to eyeball contact between the candidate and the constituents.
You probably have something like this planned for election eve. Do more. Put it into the key state
markets repeatedly and at least twice nationally. No use saving money at this point!
Content? Your focus groups will have come up with what is supposed to work and what not. You
have my basic advice from October 11 and can glance at the enclosure. BUT, at this point you need
to have a camera-mugging straight appeal for help and support to keep the clock from being turned
back to the days of Carter. Turn Mary Matalan loose to make this straight from the shoulder

time peak of its prosperity and its prestige throughout the world is threatened. You need those who
voted for the President ("me") in 1988 to turn out and bring their friends. The old welfare state

years, and you need HELP to avert this catastrophe.
For America to defeat Marxism-Leninism abroad and succumb to warmed over socialism at home
is an abomination that all patriotic Americans should refuse to abide and can, in fact, avoid. Think
about it!
The camera positioning needs to shift to several locations within The White House cum Bully Pulpit:
Oval Office, Cabinet Room, living quarters, Situation Room with appropriate backdrop where

again, perhaps sooner than we think or hope.

such as in this state, where Democratic officials have the squeeze on to magnify the negatives until
after Election Day): give the good news.
Character and trust count when it comes to sleeping in the bed (show it) of Abraham Lincoln or

Put your guys on this and saturate the key markets. You can still turn this around with let's

Sober, matter of fact, determined demeanor and a rifle-shot set of messages delivered with
conviction through all of the media that you can pay for can do this, in my judgment, because:
Clinton's support is soft; includes many Reagan Democrats who are half-hearted; and Perot will
damage him in key places like California and Florida.
Give people convincing reasons NOT to vote their pocketbooks-tall order!- while showing the
silver-lining in the clouds at the same time. Preach hope and partnership in a great future and the
nation's leadership of the New World Order, etc. This can be done and it will work!

Dear Mr. Baker:
What else can an academic do to help the cause but send something he wrote? Thus the enclosure about
how you did it in 1984. The Democrats, including my friend James Carville, have digested the lessons
of 1980, 1984 and 1988. Perhaps it is worth reminding the Republicans of them. Can't hurt, and just
maybe it will help a little.
From where I sit President Bush is going to lose this election, if he does not dramatically change his tune
very promptly and forcefully retake the "high ground" that won Reagan the election twice and, by
inheritance, Mr. Bush the election in 1988. The details are given in the enclosure and to a considerable
degree remain applicable, I believe. I would add a couple or so points.
1. Employ the traditional rhetoric of American politics and patriotism, the language of the
Declaration of Independence, the Preamble to the Constitution, and of Lincoln at Gettysburg. This is the
"vision thing" about what the country stands for-then, now, and forever. America is the city on a hill
that serves as a beacon for mankind's love of and quest for liberty, decency and justice.
Americans want their President to be the kind of cheer leader Reagan was, one who makes you
proud to be an American through tough times and good times as well. Bush is no great communicator
but he's not bad and has a record of personal service and effective leadership that the Reagan Democrats
(the middle of the country) have and will again respond to, if the matter is convincingly stated by the
wordsmiths and repeatedly driven home by the President. We have won the world. Shall we now lose
ourselves? We are talking conviction about our first principles: individualism, free enterprise, devotion
to justice and equality, and the quest for the American dream that has inspired generations of Americans
and the newly liberated people of the fallen Soviet empire. Just back from Prague and an afternoon with
Václav Havel, I can tell you we still inspire them. Shouldn't we be able to inspire ourselves, too, by
recalling our heritage?
2. Take the attack to Clinton--factually, clearly, and repeatedly: i.e., hammer him--on all of the
hard issues that the political correct (PC) mentality of the media and tactics of the Democrats want to put
out of bounds for polite discussion as the "old politics," thereby controlling the agenda to your distinct
disadvantage. Identify this tactic explicitly. Clinton is a trimmer, whatever else he may be. The
President doesn't have to be as shrill about it as Pat Buchanan is or Bob Dornan, but adultery on the part
of a great exponent of the family, draft evasion and leading the peace offensive in England (the
Communist Party line, after all, whatever he was doing in Moscow) during Vietnam add up to poor
credentials for a successor to George Washington!
Resolve, duty, forthrightness, integrity, and death before dishonor are qualities that are requisite.
The average American who goes to church every Sunday and works for what he's got will respond--and
you need his vote. Let the flakes vote for somebody else: it's the middle you've got to get back. But
you must appear to deserve their support, and you're definitely not convincing them right now.
3. The economic difficulties of the country have to be explained better than you're doing it.
There is a global recession that is at least partly the direct result of the tremendous turning point in
human history called the defeat of the Evil Empire by resolute American leadership. Take the credit and
tie it to the malaise during this transition to peace-time economies throughout much of the world.
Whoever gets elected in November is going to become an economic hero in 1993 because things will get
better, a whole lot better: check the tape of "Wall Street Week" (PBS) of last evening for this assurance
and use it. The guy without a job and none in sight has got to: (1) understand why he is in such dire
straits, (2) believe that President Bush gives a damn and has his eye on his situation, and (3) has some
clue as to how to really help--specific light at the end of the tunnel, not some vague "plan." Sacrifice
or hardship for some reason is more palatable than the feeling of exploitation and gross neglect now
pervasive in key states. If the candidate comes across as neither understanding nor caring you are sunk.
Since Americans vote their pocketbooks our prospects are not the best, in any case. If you will
resourcefully pursue the three points I have identified-with visible resolve and great moral conviction
on the part of the candidate--we might just pull it out, against all odds.

the effectiveness of this idea.
As a graduate of the Naval Academy I served many years ago as the Commanding
Officer of a CCC camp at Coon Valley, Wisconsin--a very rewarding experience
during the days of the Great Depression in the early 1930's. The majority
of the enrollees were young men from the slums of Chicago and from "Bloody
Harland County" in Kentaucky., famous for its constant deadly feuding.

They were mostly tough young men with backgrounds of crime and poverty. Every
draft of new enrolleess had to be frisked, which we often found on them,
Maintaining discipline was not easy, I assure you. But we worked them
hard in the woods, on the roads, etc.
After 6 to 8 weeks of hard work, good food and tough discipline these young
men would almost invariably begin suddenly to realize that we were on their
side and not against them, This change was one of the most rewarding things
of my life.
After they had reached this stage I tried to find jobs for some of them through
contacts with businessmen in surrounding communities. As they proved to be
dependable, steady workers it became easier to place them and more and more
people began to come to me when they had jobs to fill.

For many years after this rewardin/I often had former enrollees who would call
on me. Instead of the unruly delinquents who had come to the camp, they were
now well dressed, successful businessmen, lawyers and other good citizens/.
As a typical example which comes to mind, there was Charley G
, who grew
up in a one room tarpaper shack with several siblings and parents who were
apparently perperpetually drunk, according to a social service worker who called
me.
When Charley arrived in a draft of 79 I had them all lined up and was calli ng
the roll. He answered to his name with sarcastic "Yes, Ma'am" I asked him
to step forward one pace so I could get a look at him for future reference,
which he remembered years later.
Charley was a constant problem for all of us and the civilian supervisors
wanted me to get rid of him. Even the other enrollees complained about him.

However, a social worker called and begged me not to discharge Charley because
of the terribly bad condition of the home to which he would have to return.
I made him my orderly in order that I might keep an eye on him
Eventually he realized that we were trying to help him and he became a fine
young man, now often very critical of the new arrivals who were still the same
tough, delinquent characters.
I then finally left that assignment and went to other interesting jobs in
Washington, wartime sea commands, etc. Later I was ordered to duty as a
Professor of Naval Science commanding a Naval ROTC unit at a major University
in Milwaukee. One morning my wife called and advised me that a visitor named
was at our home and said that he would like to wait until I came for
lunch
Although I couldn't recall th name, when I arrived homw it turned out to be
Charley. He was now living in St Louis and when he read an article about my
arrivAl in Milwaukee he had immediately taken 2 or 3 days off from his job to
come and see me. I then learned that Charley had married and had two young
daughters. His wife was the daughter of a prosperous farmer and they were
living in a nice home in St. Louis where Charley was headquartered. He was
now emplyed as a firman on a crack train running between Chicago and ST, Louis.
Shortly after that he was promoted to engineer of this same crack train.
During our visit he quated almost everything I had ever said to him, including
his wise cracking answer at the original roll call. Hfully reco nized what
the CCC camp had done for him, as did everyone of the dozens of other enrollee
alumni whom I have seen since those days.
I believe it is terribly important for our country that President Bush is
re-elected and one of the very most important tasks is going to be to
build up the character and training of our young people. After many years of
command at sea and ashore, followed by student personnel experience after
retirement, I can see no more cost effective wasy to accomplish this than a
system of some sort of Civilian Reconstruction Corp camps. The great accom-
plishments of the Corps in such things as the environment, highways, etc.,
makes the costs minimal. And I firmly believe that President Bush will announce
such a plan and push it it will pay off in votes, as well. The story of Charle
might help a lot in the rest of the campaign.

The purpose of the petroleum initiative by the Connecticut
Coalition is to guarantee one hundred percent environmental
safety during transit and distribution of oil and to eliminate
the exorbitant costs and irreversible damage related to any and
all such oil disasters.
Accelerating the projected achievments afforded by advanced
state-of-the-art GLOBAL-STACK Technology and Systems capabilities
will create and stabilize over five million jobs. The regional
areas to be benefited by this initiative are the Northeast,
Southeast, South Central, West Coast, and the North Central
Industrial belt. Specifically, the targeted states are:
Connecticut, New Hampshire, Virginia, Florida, Texas, California,
Illinois, Michigan, Ohio, Indiana and Pennsylvania. These
selected states all have existing facilities for which to effect
immediate implementation.
Support of this commercial initiative should receive
financial support from U.S. oil companies, Saudi Arabia, Kuwait,
the United States and International Insurance Industry and the
defense diversification assistance from the United States.
I feel confident that diplomatic influence bestowed to
President Bush can be most effective in successfully
accelerating this expansion of the Coalition initiative and that
he personally and rightfully should have full credit for

Connecticut for use in the transportation industries for national

The transportation industry is in need of comprehensive
functional logistic efficiencies integrated with state-of-the-art

transit demands of an expanding perishable commodities industry

The Connecticut Coalition of industry leaders includes
equipment manufacturers, a major rail carrier, a major
agricultural grower-shipper-packer and a major transport carrier,
joining forces with Nicholas J. Lenge via Budding Rose
Corporation. These companies will become active participants in
this venture to accelerate changes needed to achieve advanced
technology levels integrated with GLOBAL-STACK Transportation
Systems for the future. All GLOBAL-STACK Transportation Systems
and Equipment achieve environmental responsibility with 100%
elimination of CFC refrigerant gases and foam base chemicals.
The Connecticut Coalition will bring immediate stability to
the venture with financial and technical assistance, which, when
coupled with incentives and assistance from the State of
Connecticut assures achieving successful results for an all-
Connecticut GLOBAL-STACK production and distribution operation.
Manufacturing, fabrication, assembly and installation will be
done in Connecticut by Connecticut Corporations producing seven
new models of transportation equipment and seven new related
intermodal components/products. (Schedule D)
The Connecticut Coalition members have agreed on the
suitability of eight Connecticut properties (Schedule E) located
in Hartford, New London and New Haven Counties. These excellent
condition, highly appropriate existing facilities are to be used
as plants for manufacturing, assembly, fabrication, engineering,
high-tech welding, packaging, distribution and corporation
headquarters.
The near and long term production projections and
manufacturing goals are set forth in (Schedule F). The ultimate
requisite employment base is projected to exceed 20,000 persons.
The core 50% will be replacement opportunities for workers
heretofore employed by existing facilities such as United
Technologies Corporation, Electric Boat Division of General
Dynamics and other related operations. The remaining 50% will be
employment opportunities for new workers. The employment
analysis is set forth in (Schedule C).
Immediate momentum and early success are assured by an
initial phase utilization program under a ten year GLOBAL-STACK
Distribution Services agreement (Schedule G) with Henry A. Pollak
Riverhead Corporation, Hapco Farms, a major grower, shipper,
packer and receiver of domestic and international agricultural
commodities.

expressed in letters of intent (Schedule H) as a prelude to
contract documents. Financial commitments will be based on the
individual roles and requirements of each Coalition member and by
support incentives and assistance of the State of Connecticut in
order to effect the start-up and expansion of the Connecticut
made GLOBAL-STACK fleet of equipment.
The dedication of the Coalition to the success of this free
enterprise joint undertaking is augmented by a committment to the
humanitarian and societal benefits that will result from
distributing heretofore unused and wasted commercially non-
marketable agricultural products thereby helping to eliminate
hunger. This is a practical dividend, resulting from the
efficiencies of GLOBAL-STACK "FunctionaLogistics". Budding Rose
will also direct GLOBAL-STACK Systems capabilities towards other
Environmental, Conservation and Humanitarian needs and assistance
by redistribution of water resources for drought stricken and
other catastrophic driven emergencies, thereby acquitting the
demand for utilizing the ultimate in commercial distribution

The individual contractual roles and responsibilities of The
Connecticut Coalition described in the main text and in Schedule
F are so wide ranging and backed by their guarantees that the
value of Budding Rose GLOBAL-STACK Transportation Systems cannot
be measured in terms of traditional financial investments.
Though Budding Rose Corporation and its subsidiaries are start-up
companies existance-wise, nevertheless, they should not be viewed
in the traditional manner because the Coalition involvement and
the Pollak agreement give the Budding Rose Corporation guaranteed
success and generate immediate volume capabilities for
significant full scale operations.
The Connecticut Coalition objective is to retro-fit as
expeditiously as possible, all existing Connecticut facilities
and properties for full scale production capacities; to submit
all engineering and architectural plans, drawings, renderings and
support data for local and state government needs including
Transportation (DOT), Environmental Protection (DEP) and
Department of Public Works (DPW) and other agencies for approval;
to complete the retrofitting and install all necessary raw
materials, supplies, components, manufacturing equipment and
assembly production systems including preparation for and the
training, hiring and preparation of the work forces.
Upon determination of the nature and extent of the
cooperation afforded by the State of Connecticut, the Coalition
will have the ability to gain access to and possession of the
referred to properties and within a ten week period thereafter to
finalize preparations for manufacturing, commence training of
production personnel and run production testing of the GLOBAL-
STACK Equipment Systems.

THIS AGREEMENT made by and between Budding Rose Corporation
(Carrier) and Daniel Dubinsky of the Town of Burlington,
Connecticut and Henry A. Pollak Riverhead Corporation (Shipper)
WITNESSETH:
In consideration of the mutual promises of the parties, it
is agreed as follows:
1. Shipper hereby subscribes to and shall use the shipping
services of Carrier as described in Paragraph 7 hereto and
Carrier agrees to furnish these services to Shipper.
2. Unless otherwise stated herein, the standards of service
and conditions as to all matters relative thereto such as, but
not limited to insurance, loading, unloading, arrivals, shall be
those established in the interstate transportation industry and
by government rules, regulations and rates relative thereto and
the rights and obligations of the parties shall, unless otherwise
stated herein, be determined by such industry standards and
practice and governmental requisites.
3. Carrier shall make available, allocate and commit that
portion of Carrier's equipment necessasry to meet Shipper's needs
as projected in Paragraph 7.
4. Recognizing that the services to be provided and the
equipment to be used will be new to the Agricultural Industry,
the parties are committing their utmost cooperation and good
faith efforts to each other, a continuation of the program for
the two year period and the achievement of the commitments each
has made in this agreement and, therefore, each party does
hereby, for itself and its assigns waive any claim it may have
for money damages for breach of this agreement. This provision
shall apply only to consequential damages and not to the
obligation to pay freight and related charges.
5.
This agreement and the service subscribed to by
Shipper and committed to by Carrier shall be for a period of
twenty-four (24) months at rate schedules prevailing in the
industry and/or as stated in Paragraph 7.
6. The provisions of this paragraph 6 are set forth in
Exhibit 1 attached hereto and entitled "GENERAL POLICIES" and by
this reference are made terms of this Agreement.
7a. The number of load shipments contracted for is
20,000 subject to a reduction not exceeding 25%
during the contract time period as stated in
paragraph 7b below, in which event the time

b. The contract term period shall start on September
1, 1991 or upon delivery to the Carrier of the
transportation equipment from the manufacturer

determined by delivery of equipment from the
manufacturer. The parties agree that in the event
the transportation equipment is not delivered one
year from the date of this contract, this contract
shall be deemed terminated and neither party shall
have any obligation or liability to the other.
C. Rate charges for load shipments throughout the
contract period shall be at rate schedules pre-
vailing in the industry. For those commodities
that move by rail including, but not limited to,
potatoes and onions from California, Idaho,
Washington, Colorado and Wisconsin, the Carrier
agrees to provide containers at the same rate per
hundredweight as rail rates prevalent in the
industry. For those commodities that move by
truck, the Carrier agrees to provide containers
at the same flat rate as piggy-back trucks but
the payload on the Carrier's containers shall be
50,000 pounds.
d. The origin point (s) may be any of the USA shipping
points within Carrier's system.
The destination point (s) is/are: The Budding Rose
Distribution Facility at Hartford, CT or as other-
wise contracted.
e. Other provisions:

AMENDMENT TO AGREEMENT

CORPORATION (Shipper)
WITNESSETH:
Whereas, the parties did on November 21, 1991, enter into an
agreement providing that Shipper will use Carrier's equipment for
interstate domestic transportation, which agreement is
hereinafter referred to as the Global-Stack Distribution Services
Agreement (GSDS) and
Whereas, the parties desire to amend the GSDS Agreement;

1. In the third line of Paragraph 5 the number "(24)' is

exceeding 25% during the contract time
period as stated in paragraph 7b below."
3. In the fifth line of paragraph 7b the number "1993" is
deleted and in lieu thereof the number "2001" is substituted, and
in the sixth line thereof the number "24" is deleted and in lieu
thereof the number "120" is substituted and in the ninth line
thereof the word "one" is deleted and in lieu thereof the word
"three" is substituted, so that as amended hereby, Paragraph 7b
shall state as follows:

"7b. The contract term period shall start on

Carrier of the transportation equipment from

4. In the third, fourth and fifth lines of Paragraph 7c the

substituted, so that as amended hereby, Paragraph 7c shall state
as follows:

5.
Paragraph 7e. 3) is deleted and in lieu thereof the
following is substituted:
"7e.3) Use by Shipper of Budding Rose facilities
in Connecticut for packaging and distribution

the parties. There shall be a nominal rental
charge of One Dollar ($1.00) a year. The term
of the lease shall be co-extensive with the

Services Agreement. In all other respects

It is contemplated that Shipper will be involved in the
following separate properties in Hartford: the existing facility
of The Pioneer Fruit & Commission Co. at the Connecticut Regional
Market and a new 250,000 square foot facility to be constructed
at the Regional Market, an existing facility with expansion to
300,000 square feet at Colt Park South and a rail yard transfer
center at Dutch Point.
6.
Paragraph 7f is deleted and in lieu thereof, the
following is substituted:
"7f. Shipper shall have the option of
extending the contract term for a

transport temperature control systems to make the product compatible with the Global-
Stack Atmosphere Controlled Environment Airflow System 48' and 53' containers

Rose manufacturing facilities located in Connecticut for installation and completion of the
