My family's deep devotion and love for the Bush family first sur- faced when my daughter, Carmen-Jaime wrote a letter to the Vice President's wife, your mother. My daughter was blessed and on cloud nine when she received a personal response from the Vice President's lady, Mrs. Barbara Bush. Since this time I have had the pleasure of being a member of a concerned audience at the New World Landing in Pensacola, where you addressed the group. I was quite impressed by your inform- ative address and the rapport that was present at all times during your presentation. At a later time, I have had the pleasure of being an invited guest to a gathering at the Naval Aviation Museum where the President of the United States was to appear. The president, as usual did an outstanding job, and spoke glowingly about the military, the milit- ary families and the efforts of all the armed forces in the recent Persian Gulf war. This day was highlighted when my wife Carmen had the honor of shaking the hand of President George Bush. Mr. Bush, I am at this time, humbly requesting your support for Pensacola"s Memorial Day Services program. If you review the en- closed material, you will see that a United Parcel Routeman by the name of Bill Polakiewicz, became alarmed at the lack of student knowledge and student participation in Memorial Day services all over America. Bill's concern found others who shared in his love of country and America's veterans. I feel very fortunate and honored to be one of those proud Americans who wanted to honor our country's greatest treasures "HER DECEASED VETERANS and HER LIVING STUDENTS WHO WILL BE TOMORROW'S VETERANS. " I would like to request that the winners of the Memorial Day Poster contest be considered for possible recognition by the President of the United States. This recognition could be offered in the form MAn of a written citation or award from the educational President, your father, President George Bush. If my request receives a positive response, the awards could be made by yourself or by one of the Memorial Day Services Committee members. I have expanded my dreams of honoring the deceased veterans and the surviving familiy members in an unusual way, as I will explain. During the Gulf conflict, one entire crew of a United States Air Force, AC 130 was lost in an attempt to provide air cover for a group of their ground combat colleagues. This aircraft designated, #03 was from Hurlbert Field, Mary Esther, Florida and many of the families were and still are Florida residents. Now, just think how appropriate it would be to honor these veteran's who made the supreme sacrifice by honoring their remaining family members. With this thought in mind I am going to attempt to contact Air France, the national airline of France and request a donation of air travel to the French Magic Kingdom for the family members of Flt#03 from the United States Air Force. If this might be possible, just con- sider the display of comradeship, compassion and love for the crew members of the crew who offered their lives for "WORLD PEACE.' Wow! what a Memorial Day for America and for our ally and friend the great country of France. Mr. Bush, I hope you can find some merit in my hope, dream and pray- ers for this project. Rest assured that all the Kerrigans will be working for the entire Bush family, for the Bush ticket but above all for the President of the United States and his wonderful First Lady, America's finest First Lady ever. The supreme sacrifice by these patriots has enabled Americans to pursue lives of freedom and happiness unequalled in any other country in the world. Young students in Escambia and Santa Rosa counties will soon proudly submit their personally hand-drawn posters to characterize our Memorial Day services theme of "REMEMBER, RESPECT, HONOR." Please stop by and say hello so Paul knows what REPORT FROM CONGRESS STUDENTS MEET HERO CONGRESS MAN Kevin Kerrigan and Nick Jefferies, two Gulf Breeze junior high students, EARL HUTTO wanted to do something to show that there are many teenagers who are good Americans in this country. They formed a group called the "American Students for God, Country and Democracy" and spent their Christmas vacation getting 6,000 signatures from local citizens to send to Lt. Robert Goodman, who was im- prisoned when his plane was shot down over Syria. The students wanted him to know that Americans were supporting him. Later, of course, Lt. Goodman was freed, but the boys still wanted him to know how people back home felt. I was able to contact Delta Air Lines and the Navy and arrange a meet- ing for the boys to make their presen- tation. Through the generosity of Delta Air Lines, Kevin and Nick flew to Norfolk, Virginia, where Lt. Goodman met them and received the signatures. They spent the afternoon touring NAS Lt. A meeting was held in my office on Monday, April 27 with representatives of IRMD and Intelligent Solutions, and this issue was discussed at some length. First of all, the original requirements placed on the contractor called for the ability to access mainframe applications (CTRK, PCON, PRIV) from the Quorum menus. This capability has always been a part of the system. The problem arises when you go from the mainframe screen back into Quorum. Since the computer is unable to keep two different sessions active, the mainframe connection is broken and the users have to reenter their password in order to return to their mainframe application. This is not a problem for the majority of users since they work primarily in Quorum and only occasionally go into PCON to look up a name and/or address and return to Quorum to write their letters. In President's Personal Mail, in Gifts, and to a lesser extent, in Mail Analysis, it is a problem because their work requires them to constantly move between the two applications. In the case of Gifts, the planned incorporation of the gift accounting system into Quorum will eliminate the need for that office to move as frequently between two applications. Intelligent Solutions, the contractor for Quorum, has devoted in excess of 150 manhours to resolving this problem since it was first brought to our attention by Courtney Palm. They have found a solution. The solution will do what we ask, but it requires the user to be very accurate in what he or she types. If they hit an incorrect key, they will lock up their system. Therefore, I have recommended against implementing it because I feel that the fix would cause more problems than it would correct. The contractor has told us that they believe that with the help of IBM, a fix can be written that will be both effective and safe. An estimate of the cost is between $4,000 and $8,000. According to Intelligent Solutions, paying to have the necessary programming work done to make the hot key safe would also benefit us if we decide at a future date to add other applications to the base system. In conclusion, they have given it their best shot. If we're going to have a reliable hot key capability, then we are going to have spend the extra money. THE WHITE. The presence and concern of the President are important to Americans in a time of crisis. The events in Los Angeles have focused national attention on the serious economic and social problems in urban areas. The conditions present in Los Angeles exist in most of our nation's urban areas. They present a challenge to our society. That requires an immediate response to the situation in Los Angeles and a longer term strategy that addresses the fundamental problems in many of our cities. The creation of jobs, and the opportunity and hope that come with a job, are vital to the recovery of Los Angeles and the renewal of our urban areas. The personal safety of residents of urban areas is crucial to the rejuvenation and vibrancy of neighborhoods. We know that we and you disagree on some aspects of this matter. Americans undoubtedly also have different perspectives on the best approaches to these problems. But on one thing we can all agree: No one benefits if differences of opinion paralyze our society's response. We therefore propose the following actions and invite you to join with us in gaining their enactment. The President May 11, 1992 Page 2 - You have publicly committed $600 million in assistance to those hurt by this disaster, through the Small Business Administration (SBA) and the Federal Emergency Management Agency (FEMA). We support your proposal. But, as you know, without supplemental funding, neither the SBA nor FEMA will have enough money to pay for disasters already declared and also help the people of Los Angeles. We ask that you join us in supporting greatly needed funding for SBA and FEMA, as well as for a summer youth jobs program under the Job Training Partnership Act. - We agree that arson, looting and destruction damage the community as surely as any of the underlying causes of urban unrest. The conference report on the crime control bill has been approved in the House and awaits only Senate passage and your signature to become law. It includes valuable provisions for community-based policing, state and local law enforcement assistance, a provision that will begin to control the proliferating urban arms race that threatens our police, and a range of higher federal penalties for drug-related offenses as well as for capital offenses, including the death penalty. It has the endorsement of every major police organization in the country. Its enactment can send a valuable and immediate signal to all the people of our cities and suburbs that the personal security of law-abiding citizens and the protection of private property are a central element of economic revival in urban areas. - We propose that several provisions of the tax measure which Congress passed and you vetoed in March, be considered again and enacted. These are (1) the creation of urban enterprise zones; and (2) the extension of several expiring tax programs which utilize the private sector to help create jobs, provide better housing, and encourage investments in economically disadvantaged areas. - The bill providing 13 additional weeks of unemployment insurance that we worked out together in February expires on June 13th. We should ensure that unemployment compensation is available for those who are unemployed. Only 40 percent of the jobless qualify for compensation today. When less than 50 percent of jobless workers in a recession qualify for unemployment benefits, the system is not working as intended. We ask you to join us in extending and fixing the unemployment compensation system. The President May 11, 1992 Page 3 - People need jobs. The Surface Transportation Act of 1991 provided the largest public works authorization in our history. Nearly all of the required money is in a Trust Fund. States have indicated that they could use another $1 billion on approved projects this year. States will be able to spend the full $25.7 billion authorized for the next fiscal year. We urge you to revise your FY 1993 budget request to provide for the full authorization. This would increase available funds by $3.6 billion. - In addition, the Housing Reauthorization bill now pending in Congress, including the Community Development Block Grant, and the Head Start Summer Program, will create jobs and empower urban residents by providing increased affordable housing and expanding local community development activities. We can improve on this beginning, first, with consultation, among Members of the Congressional Black Caucus, community leaders in Los Angeles and other affected urban areas; and, second, by recognizing that other long-term measures, now stalled because of politics or paralysis, must be broken free and moved to the front of the nation's agenda. Specifically, we refer to the need for cooperation between the Executive Branch and Congress on behalf of broad-based economic growth that will provide jobs, opportunity and justice for all Americans. It has often been said, and we would do well to remember today, that a good job is the best social program for everyone in our society. These measures, by themselves, will not solve all the problems. Much more will be needed. But we believe they represent an important start. Without order, there cannot be the stable communities that nurture stable families. The foundation for personal responsibility is formed only within a stable family structure. There is a broad core of agreement between us on which we can build, and we write you in the same spirit you expressed in a news conference before leaving to visit Los Angeles. You told Americans then that the challenge is not one of assigning blame, but whether we, as a country, have done enough for those left behind. You said you were not satisfied that we had. He also outlined several additional steps to reduce the regulatory burdens that are ultimately borne by every American consumer and worker. The President observed that excessive and misguided regulatory requirements "impose hidden taxes and costs on society" and often have unintended, pernicious consequences. For example, when Congress tries to legislate the fuel efficiency of our cars, "highway fatalities can increase and American auto workers can lose jobs." Three months ago, the President took decisive action to reduce these hidden taxes. He asked the major federal regulatory agencies to set aside a 90-day period to evaluate existing regulations and programs and to accelerate initiatives that will create jobs and economic growth. He also imposed a moratorium on new regulations that could unnecessarily hamper economic growth. As described in detail below, the President's reform initiative, under the guidance of the Council on Competitiveness, has already produced a substantial reduction in the burden of federal regulation. As shown in the attached table, the Administration's best estimate is that the reforms it has completed or set in motion since January 28 will ultimately save American consumers and workers roughly $15 to $20 billion per year (although the savings could be as high as $22 billion or as low as $10 billion). That amounts to between $225 and $300 per year for the average American family. Additional Steps Announced By The President To Reduce Regulatory Burdens. The President announced that he has asked regulatory agencies to implement these and other reforms identified during the review period on an expedited schedule. -- Specifically, the President asked that actions not requiring additional public comment be completed by August 1, 1992, and that, wherever possible, actions requiring public comment be finalized by September 1, 1992. -- Each agency will submit an updated report on these activities to the President on September 1, 1992. Extension Of The Regulatory Moratorium. The President also announced that, in order to ensure that adequate resources continue to be devoted to the regulatory reform initiative, the moratorium will be extended by 120 days. He again emphasized that the moratorium does not cover regulations needed to protect against imminent threats to human health or safety. He also requested that all federal agencies prepare a thorough cost-benefit analysis of each major rule issued during the moratorium period. Better Cost-Benefit Analysis Of Legislative Proposals. Finally, the President directed federal agencies to estimate the likely costs and benefits of legislative proposals under active consideration by Congress or to be proposed by the agency. The Office of Management and Budget, in consultation with the Council of Economic Advisors, will provide technical guidance on the preparation of these estimates. 2. Impact Of The President's Initiative Thus Far. Discussing the success of the 90-day review, the President noted that every agency asked to participate in the initiative has already taken concrete steps to reduce regulatory impediments to economic growth. Indeed, federal agencies took more than 200 separate actions. Following are some of the most significant reforms completed or initiated during the 90-day review: O Accelerating Approval Of New Drugs. The FDA recently announced important reforms that will reduce by as much as four years the overall time it takes to develop breakthrough drugs. These actions, which are the culmination of efforts begun by then-Vice President Bush's Task Force on Regulatory Relief, will ultimately save millions of lives as well as billions of dollars. - 2 - -- As a result of these reforms, patients will have earlier access to drugs to treat diseases such as cancer, AIDS, Alzheimer's disease, depression, and cystic fibrosis. -- Under a pilot program, these reforms made it possible for the AIDS drug DDI to receive FDA approval in only six months. Protecting Workers' Rights. The President signed an Executive order requiring Federal contractors to inform employees of their rights under the Supreme Court's Beck decision. -- This action will help ensure that nonunion employees are not forced, through mandatory union dues, to support political causes with which they disagree. Between two and three million of the 19 million workers represented by unions are not union members, but must pay compulsory fees. -- An employee who elects to exercise his or her Beck rights would receive a refund of approximately $400 per year. This annual refund amounts to about a week's wages for workers represented by unions. Reducing Regulatory Burdens On Biotechnology. The U.S. is the world leader in high-tech biotechnology -- the use of biological processes to make products with living organisms. Until recently, this innovative new technology was singled out for increased regulatory oversight, despite a scientific consensus that it poses no inherent risk. -- Under a new policy developed by the President's Council on Competitiveness, federal regulators will exercise oversight only when a specific product poses an unreasonable risk. -- With the help of this new policy, the U.S. biotechnology industry is expected to grow from a $4 billion to a $50 billion a year industry by the year 2000, providing innovative products for American consumers and new jobs for thousands of American workers. Reducing Food Prices. Labeling costs are part of the price of foods all Americans buy. To reduce these costs and provide needed flexibility, the Department of Agriculture will implement an exemption from labelling requirements for small businesses. To ease the transition to new labeling standards, the USDA is also extending the implementation period for another year. - 3 - Reducing Financing Costs. Financing costs are a significant part of the price of almost all goods and services. The Administration has taken several actions to reduce these costs. -- The Office of Thrift Supervision issued a rule permitting nationwide branching by the Nation's 2,000- plus savings associations. This change will foster safe, sound operations and will result in savings to borrowers and lenders of up to $1.5 billion dollars annually. For a typical family taking out a $100,000 30-year loan on a new home, for example, these changes could translate into a $180 reduction in annual mortgage payments. -- The four Federal agencies that regulate banks and thrifts -- the Federal Reserve Board, the Federal Deposit Insurance Corporation, the Comptroller of the Currency and the Office of Thrift Supervision -- have agreed to apply uniform policies and procedures in supervising banks and thrifts. This change, which builds on proposals made by the Task Force on Regulatory Relief in 1985, will eliminate unnecessary compliance costs incurred by financial services institutions. -- By clarifying that lenders are ordinarily not liable for environmental damage done by their borrowers, EPA removed a significant barrier to lending that will increase credit availability. Helping Small Businesses Raise Capital. Small businesses account for more than two-thirds of new jobs. The Securities and Exchange Commission has taken a number of actions to eliminate barriers to investment in small businesses, thereby facilitating business expansion and increased employment. -- The SEC issued a proposed regulation to increase from $500,000 to $1 million the amount that a small business can raise through stock offerings without registering with federal authorities. -- Also, the SEC has made it possible for thousands of small businesses to use streamlined registration forms. If used by one-quarter of eligible businesses, up to $18 billion could be raised in initial public offerings under one of these new forms. Such businesses could thereby save more than $180 million on legal and accounting fees. - 4 - -- The SEC has also published an interpretation that would allow mutual funds to invest a greater percentage of their assets in the securities of small businesses, further increasing the capital available to this dynamic part of our economy. Reducing Transportation Costs. -- Shipping costs for consumer goods account for about 8 percent of the average family's budget. To reduce these costs, and to eliminate unnecessary regulatory burdens of some 52,000 small trucking companies, the Interstate Commerce Commission initiated a proceeding to abolish a regulation requiring motor carriers to keep a unique set of "regulatory" accounting books in addition to standard financial and tax records. The ICC also initiated a proceeding to spare motor carriers from having to obtain a registration stamp for each of their vehicles from each state in which they operate. -- To reduce air travel costs, the Department of Transportation has implemented its "open skies" policy, which provides open access to U.S. markets for all European countries willing to permit U.S. air carriers free access to their markets. Increased competition will lead to lower fares and increased spending in the U.S. by foreign visitors. Implementing The National Energy Strategy. The Federal Energy Regulatory Commission has taken several steps to achieve important objectives of the National Energy Strategy. -- It adopted a major natural gas pipeline restructuring rule that will promote competition in the gas industry and increase the use of this clean fuel. The FERC's reforms in the natural gas pipeline industry will eventually reduce utility bills for the 50 million households that heat with natural gas. -- It issued a proposal to allow "incentive regulation" for interstate natural gas pipelines, oil pipelines and electric utilities. This new policy will give these companies a greater incentive to innovate and to economize on operating costs. -- It has also issued a proposed rule removing regulatory barriers to the sale of natural gas as a fuel for use in motor vehicles. - 5 - Meeting Environmental Goals In A Cost-Effective Manner. -- The Administration has developed several innovative, market-based approaches to reduce the costs of meeting the Clean Air Act's stringent standards. One such initiative, known as "Cash for Clunkers," will help businesses meet the tough standards of the Act by giving them emission reduction credits if they take older, high-polluting automobiles off the road. -- The Commodity Futures Trading Commission has contributed to these efforts by implementing expedited procedures for approving new futures contracts. One of the first contracts approved under these new procedures was a futures contract in sulfur dioxide allowances. This new investment vehicle will significantly reduce the costs to utilities of complying with Clean Air Act standards, thereby ultimately reducing consumers' utility bills. Creating More Competitive Communications Markets. -- The Federal Communications Commission took steps to allow competition among international communications satellite systems. Its actions will lead to lower prices for the more than one billion phone calls made each year between the U.S. and other countries. -- In an effort to strengthen the rapidly changing broadcast business, the FCC increased from 12 to 30 the maximum number of FM and AM radio stations that can be owned by a single owner, and for the first time will allow ownership of more than one AM or FM station in a market. Clarifying Antitrust Guidelines. The Department of Justice and the Federal Trade Commission announced a unified antitrust enforcement policy for the more than 1000 mergers and acquisitions reviewed by these two agencies each year. -- Where stiff international competition already exists, the new guidelines will make it easier for American companies to achieve the economic clout they need to compete effectively in the global marketplace. -- A common policy will provide greater certainty about the standards to be applied in enforcing the antitrust laws, as well as a more reasoned analysis of the competitive effects of mergers. - 6 - O Reducing Barriers to Exports of American Goods. The Department of Commerce has eased a variety of outdated export regulations that limited the ability of American businesses to export goods such as computers and semiconductors. (E) To come-from Barndollar subcommittee. 1 THE WHITE HOUSE Office of the Press Secretary For Immediate Release April 28, 1992 FACT SHEET ON CAPITAL MARKET REGULATION REFORMS In response to the President's regulatory review initiative, the Securities and Exchange Commission (SEC) and the Commodity Futures Trading Commission (CFTC) today announced numerous regulatory changes designed to eliminate unnecessary regulatory burdens, reduce costs, and thereby to permit the Nation's capital markets to function more vigorously and efficiently. Vigorous capital markets are essential for business expansion and job creation. Indeed, capital markets are the principal funding mechanism for the operation and growth of U.S. businesses. This is reflected in the fact that the value of all securities traded in U.S. capital markets -- including stocks, bonds, and commercial paper -- approaches $12 trillion. In 1991, a record $700 billion of new public and private financing occurred in the U.S. capital markets. The reforms announced today fall into four general categories: (1) reforms that will expand choices for investors; (2) reforms that will streamline reporting and disclosure requirements, thereby making it easier for businesses to raise additional capital for expansion and job creation; (3) reforms that will increase capital available to small businesses; and (4) reforms that will make capital markets operate more efficiently. These reforms, some of which must be approved by the full SEC or CFTC, will achieve these goals without impairing the fundamental goals of investor protection and confidence that have made U.S. capital markets the best in the world. 1. Expanding Choices for Investors. The SEC and the CFTC are taking numerous actions to expand the range of choices available to investors, particularly small investors. O Streamlined Regulation of Mutual Funds and Other Investment Companies. Registered investment companies, including mutual funds, represent the third largest sector of the U.S. financial system. They manage approximately $1.5 trillion in assets. Mutual funds alone had more than 68 million investors at the end of 1991. The SEC's reform program will include the following steps to streamline and modernize the existing regulatory system: -- Remove Constraints on Asset-Backed Financing. The SEC's reform program will include new rules to exempt certain types of asset-backed securities from registration under the Investment Company Act of 1940. By expanding the types of assets (auto loan receivables, for example) that can be "securitized" without registration, the SEC's new rules will facilitate the creation of new, lower-cost methods of raising capital. The rules will also create new options for investors. -- Creating New Types of Investment Companies. The 1940 Act currently requires all "open end" mutual funds to offer redemption of shares every day. This makes it practically impossible for funds to invest in less liquid assets, such as the shares of start-up companies. To correct this problem, one SEC reform would permit development of a new type of investment company whose shares would be redeemable on a monthly, quarterly or semi-annual basis rather than daily. Expanding Choices for Participants in Futures Markets. The CFTC is taking two important steps to expand choices for participants in futures markets: -- Lifting the Ban on Trade Options. The CFTC has issued a proposed rule that would facilitate the offering of "trade options" -- i.e., options sold in the course of a commercial trading relationship rather than as investments. The proposed rule would not only expand investor choice, but also would permit agricultural concerns to obtain options that are tailored to their specific risk-shifting requirements. -- Expanding the Availability of Foreign Option Products. Another proposed rule change would permit U.S. futures firms to engage in transactions in most foreign option contracts on behalf of customers outside the U.S. 2. Simplifying Reporting and Disclosure Requirements. The reforms announced today include numerous steps to simplify disclosure and reporting requirements. These steps will not only make it easier for investors to understand disclosure documents, but also will make it easier for businesses to raise capital for expansion. O Increased Use of "Shelf" Registration. In the 1980s, the SEC adopted a system for "shelf registration" of securities. Under this system, securities can be registered for delayed offering, thereby eliminating the need for further SEC review. This provides issuers greater flexibility in the timing, size, and manner of distributions, and reduces - 2 - costs. The SEC's reform program will include actions to expand the availability of shelf registration for all types of investment-grade, asset-backed securities. If such a rule change had been in effect in 1991, approximately $48 billion of registered asset-backed securities could have been registered under these shelf-registration procedures. Wider Availability of Rule 144A. SEC Rule 144A provides a "safe harbor" from registration requirements for resales of privately placed securities by large, sophisticated investors. The SEC's reform program will make it easier for institutional buyers such as insurance companies and pension funds to avail themselves of this safe harbor. This will increase the volume of securities sold in unregistered offerings, thereby reduce regulatory costs borne by issuers, intermediaries and investors. Expanded Use of Simplified Registration. The SEC reform program will also include changes to enable an estimated 400 additional issuers, with an aggregate market capitalization of more than $35 billion, to use Form S-3, a simplified registration form. This change will reduce by one-half the length of the prospectuses required to offer common stock and other securities for many of these issuers, resulting in significant cost savings. O Streamlined Requirements for Insider Reporting. The SEC's program will include steps to streamline reporting by a public company's officers, directors and significant shareholders of transactions in the company's securities. These steps will include action to address cash-only employee benefit plans and other broad-based employee benefit plans. O Simplifying Broker-Dealer Registration and Reporting Requirements. The SEC's program will finalize amendments to the basic registration form for broker-dealers to clarify and simplify disclosure requirements. The agency is also working with state regulators to develop a one-stop filing system for state and federal registration of broker-dealers. Simplifying Disclosure for Commodity Pool Operators. The CFTC, in coordination with other regulators, has developed a simplified disclosure document format to be used by operators of "commodity pools" -- i.e., investment vehicles in which investor funds are pooled to purchase interests in commodities. This change will enable pool operators to provide simplified disclosure to investors and to provide more detailed data only upon request. -- - 3 - Relieving Reporting Burdens on Commodity Pool Operators and Trading Advisors. The CFTC has issued a proposed regulation to exempt commodity pool operators from most of the disclosure, reporting and recordkeepng requirements for pools offered or sold to sophisticated investors in private offerings. This change will reduce -- possibly by up to 90% -- the costs of offering commodity fund participations to institutional and other sophisticated investors. Expediting Registration of Commodities Brokers. The CFTC is working with the National Futures Association (NFA) to expedite a "direct entry" broker registration process now being tested in a pilot program. This program permits commodities brokers to enter required information directly into the NFA's computer system, thereby reducing delay and paperwork. Eliminating Unnecessary Reports. The CFTC has issued proposed rules to reduce the volume of "large trader" and customer identification reports submitted by futures firms. 3. Increasing Capital Available To Small Businesses. In addition to the measures described above, the SEC is taking the following actions to increase access to capital by small businesses. O Amendments to Regulation A Offerings. Regulation A offerings of securities are less costly than registered offerings, and do not cause an issuer to incur periodic reporting obligations under the 1934 Securities Exchange Act. The SEC recently issued for public comment proposed revisions to permit more issuers to expand the availability of Regulation A offerings by increasing the annual dollar limit from $1.5 million to $5 million. It has also proposed a rule permitting the use of a simple question-and-answer format for the offering circular. Finally, the SEC has proposed to allow companies for the first time to "test the waters" for investor interest before incurring the expense of preparing offering documents. These changes will make it easier for small businesses to raise greater amounts of capital without incurring substantial legal and accounting expenses. Small Debt Offerings. The SEC recently issued proposed rules that will expand exemptions to costly requirements for the issuance of corporate debt securities. The SEC's proposed amendments would exempt debt offerings, up to certain limits, from compliance with the Trust Indenture Act. - 4 - Seed Capital Offerings. The SEC recently issued proposed rule amendments to permit companies to receive up to $1 million annually from the public without regulatory conditions. o Simplified Disclosure System for Small Businesses. The SEC has recently proposed simplified "junior" disclosure forms that can be used by small businesses to comply with securities registration and continuous reporting requirements. Investments by Mutual Funds in Small Businesses. The SEC has recently taken two other steps to facilitate investment by mutual funds and other investment companies in small businesses. First, it has issued proposed rules to increase the dollar amount of securities that may be raised without registration by certain types of investment companies that specialize in small business investing. Second, it has published a release that allows mutual funds to increase the percentage of their assets that may be invested in the illiquid securities of small businesses. 4. Making Securities and Commodities Markets Operate More Efficiently. The SEC and the CFTC announced the following reforms to streamline the rules that govern the operation of U.S. capital trading markets. These changes will help make U.S. exchanges and other trading markets more efficient, as well as more competitive with their foreign counterparts. O Cross-margining for Option and Futures Positions. These teenagers and senior citizens are joining forces to make Dade County a decent, drug free, and safe place to live. Now in its second year, the Youth and Elderly Against Crime Project is a partnership of several organizations, including the Dade County Public Schools, Jewish Family Service of Greater Miami, the City of Miami Police Department, and the Metropolitan Dade County Police Department. Students team up with senior citizens and local police to protect the city's elderly community from violence and other crime. Originally, the project linked residents of housing projects to teenagers from the three Miami high schools which had the highest rates of nearby crime. In their social studies and criminal justice classes, students surveyed the seniors in the designated projects and centers and found that drug-related violence and heightened racial tensions had made them virtual prisoners in their own homes. Youth and Elderly Against Crime has since expanded to include students from seven high schools and two middle schools. By working together in teams of five to six students and one senior citizen mentor, intergenerational groups learn to respect each other's concerns and to protect themselves from crime. Groups meet at least once each week. Police officers teach them about safety and crime prevention so that the groups, in turn, can give presentations to their senior neighbors. Teen and senior volunteers from the Youth and Elderly Against Crime Project are reclaiming their neighborhoods and forming strong friendships that cross generational and ethnic lines. Mr. Gower, a senior at Union College in Schenectady, New York, works to provide low-income people in his community with a decent place to live. Mr. Gower, originally from Lexington, Massachusetts, began refurbishing low-income homes through a Habitat for Humanity program with his church's youth group while he was in high school. After matriculating at Union College, he saw the need for a similar program that could mobilize students. With the support of school administrators, city officials, and fellow students, he founded "We Care About U - - Schenectady." This group repairs homes owned by Better Neighborhoods, Inc. (BNI), a local non-profit housing rehabilitation corporation. Mr. Gower, 22, has attended nearly 40 Saturday work days since the program started in January of 1991. Serving as the group's president, he volunteers as many as twenty hours per week in addition to being a full-time student. He helps gut, frame, insulate, sheet rock, and trim the interiors of homes being refurbished. As a civil engineering major, with an emphasis on structural engineering and construction management, he has also trained other volunteers who have no construction background. Mr. Gower and nearly 80 other volunteers contributed over $7,000 worth of labor costs on the first house they constructed. BNI donates the building materials and Union College provides other needed supplies, such as power tools and lunches. The volunteers give troubled youth a second chance in life, helping them develop good character and values. Established in 1979 by Professional Golfers Association champion Chi Chi Rodriguez, educator Bill Hayes, and the late Bob James, the Foundation's goal is to instill greater self-esteem in young people who have been victims of abuse, experienced minor brushes with the law, or suffered other hardships. "Chi Chi's Kids," is an after-school program at Glen Oaks Golf Course and the Chi Chi Rodriguez Golf Club. Volunteers teach horticulture, golf and retail skills, as well as personal life management, hygiene, and social behavior to over 100 young people, who are referred to the program by teachers, counselors, or concerned citizens. Specific learning strategies are tailored individually to each child, whose progress is regularly reviewed. Children receive free clothing, legal assistance, and, if necessary, psychological treatment. Over 40 volunteers play golf with the youth, lead field trips, tutor them in many subjects, and help with golf course maintenance and administrative matters. Mr. Rodriguez periodically telephones "his kids" to check on their progress and visits them at times throughout the year. Volunteers are involved in the Foundation's program which enables several hundred youth and adults with minor criminal backgrounds to learn landscaping and other job skills, while fulfilling court-ordered service requirements. The Foundation also provides the facilities, equipment, and expertise that enable 40 people with mental and physical disabilities to experience golf and recreation. In addition, Foundation golf pros work with other youth organizations through the "Performance Toyota Golf Program for Special Kids." These volunteers provide a wide variety of support services to New York's homeless population. In 1989, after 23 years of success in private business, Richard and Dixie Galloway turned their energies to the plight of homeless people in New York City. After extensive research, the Galloways discovered that numerous support services were already available. Their challenge was to match homeless individuals with services which would best meet their needs. With this objective in mind, the Galloways converted an old school bus into a medical clinic, kitchen, and resource office which travels to different neighborhoods, five days a week, and remains there from 10:00 a.m. to 2:00 p.m. New York City Relief is run entirely by volunteers, who include housewives, doctors, and college students, and who range in age from 15 to 86 years. Nine volunteers donate full days to the operation of the mobile resource office, while the number of part-time volunteers ranges from 25 during the winter to over 100 throughout the summer. The volunteers work on location, serving food, administering first aid, and directing homeless individuals to the agencies able to meet their needs. Whether serving someone a hot meal, escorting an addict to a detoxification clinic, or referring a pregnant woman to Cornell University's free pre-natal, birth, and post-natal care, New York City Relief volunteers touch the lives of more than 3,000 homeless men and women each day. One example is Larry, who after a 15-year heroine addiction, came to New York City Relief for assistance. He was accompanied to a detoxification program and eventually to drug rehabilitation by a volunteer. Today, he is drug-free, gainfully employed, and volunteers at New York City Relief every Friday. Because of the program's success, it has been replicated in Toronto and Philadelphia. Team members strengthen their community and help those in need by engaging in a remarkable variety of voluntary service activities. Established in 1987, the Community Involvement Team links more than 80 percent of the bank's 98 employees to service opportunities throughout Hattiesburg. Ten or more Team members volunteer with the Pine Belt Boys and Girls Club, where they befriend and tutor over 300 youth, ages 5 through 18, from low- income families. Team members also befriend residents of the Wesley Manor Retirement Community, transporting them to and from appointments and escorting them on errands. Volunteers also help organize an annual Christmas Party and a Valentines Day Sweethearts Ball. The Community Involvement Team has been a mainstay of the Christian Services Soup Kitchen, which opened in 1987. Mrs. Williams helps women with developmental disabilities develop independence and a sense of well-being. Mrs. Williams, 72, was inspired to serve individuals with mental disabilities because of her experiences with her own daughter, now 32, who is developmentally disabled. For the past six years, Mrs. Williams has been a volunteer with the Association of Retarded Citizens - Riverside (ARC). Four hours a day, five days a week, Mrs. Williams teaches personal hygiene and basic life skills to developmentally disabled young women between the ages of 9 and 40 years. In addition to better personal grooming habits, cooking skills, and other independent living skills, the women have the opportunity to learn how to socialize and develop relationships with their peers. As a result of Mrs. Williams' patient guidance, many of these women have become more confident and self-assured. Prior to her work with ARC, Mrs. Williams organized and led a Girl Scout Troop for girls with developmental disabilities. She created her own Troop Merit Badge, called "Thinking," which is still used by troops throughout her area. Many of the girls from her troop now attend her classes at ARC. Over the years, Mrs. Williams has developed a number of programs which enable developmentally disabled children to enjoy swimming, hiking, and camping. Alexander sidestepped the issue of whether his boss, President Bush, and Arkansas Gov. Bill Clinton, the front-runner for the Democratic nomination, have similar strategies to improve learning in America. "I think the president's got an agenda and the presidential nominee's got a problem (because) he's got the business-as-usual crowd for his supporters," Alexander told a luncheon at the National Press Club. "It will be more difficult for the Democratic nominee to be a strong advocate for revolutionary change in the schools ... The business-as-usual crowd will not go for revolutionary ideas," he said. Bush on Thursday proposed giving all Americans a $25,000 line of government-backed credit to pay for higher education or acquire new job skills. The money could be borrowed through the Student Loan Marketing Association, a quasi-governmental agency known as Sallie Mae, which in turn would sell $100 million in securities a year to pay for it. Terms of repayment would vary, with interest charges keyed to recipients' ability to pay. Bush said he plans to include the idea as part of education legislation he will propose to Congress later this year. Clinton has proposed a new national trust fund that would allow any person to borrow money for schooling and be able to repay it either through payroll deductions based on their income, or through community service. Clinton's campaign spokesman Jeff Eller has said that Bush "borrowed parts" of the Democratic candidate's education program. Alexander, noting the first anniversary of Bush's education reform program called America 2000, said Bush "has a clear agenda for revolutionary change in education." He said the six national education goals developed by Bush and the nation's governors as part of America 2000 have been accepted across the country. He said businesses also have accepted Bush's challenge to work with educators and others to design new ways to teach schoolchildren; teachers are being given more flexibility in operating their classes; and a national system of testing students is being developed. "The Democratic nominee will have the same sort of problems with education as Paul Tsongas had with the Democratic Party on taxes, said Alexander. "The Democratic nominee will be under pressure" to limit to only certain schools key changes in the educational system. Meanwhile, Alexander said Bush is working to implement a number of key changes in all schools, including private and religious. In an address to a lunchtime crowd at the National Press Club, Alexander touted "America 2000'' - the strategy Bush unveiled a year ago Saturday to make Americans better educated that has been largely snubbed by Congress. Alexander said the plan is working slowly but surely and that it can succeed if implemented to full term. "This is not a seven-second sound bite, Alexander said of Bush's ambitious education reform package. "This is not even a 100-hour war. There is no solution that we can cook up here for what we need to do about education that comes in the form of legislation and some more money and instant result. It's more than that. And we have finished one year of a nine-year crusade.' Alexander said during the 30-minute speech that Bush's record as an " education president" is reason for Americans to give him a second term in the White House. "I believe his leadership in education is one very good reason to give him another term because it would be an opportunity for him to finish the job," Alexander said. The education secretary's remarks came a day after Bush, in an election-year speech, heralded "America 2000'' as it approached its anniversary and reissued an old proposal to upgrade education that has been already shot down by Congress. The plan calls for offering Americans of all ages a $25,000 line of credit for higher education expenses. It was introduced in the House earlier this year but died on procedural grounds without coming to a vote. ``America 2000'' includes building 535 so-called break-the-mold new schools, using federal dollars to give parents greater choice in selecting a school for their youngster, and alternative teacher certification. With assistance from the nation's governors, Bush also set six lofty education goals for the year 2000 - children ready to learn when they come to school; 90 percent high school graduation rate, up from the current 70 percent; all pupils learning to a world-class standard in at least math, science, English, history, and geography; first in the world- in math and science; skilled, literate work force; drug-free, violence- free schools. Alexander said 43 states and 1,100 communities have adopted "America 2000." "The goals have become the nation's goals, he said. "I feel we're making a little bit of progress every day. We can create the best schools in the world. This is the nation that grew up reading "The Little Engine That Could.' "If we can put a missile down a smokestack, we can create the best schools by the end of this century, Alexander said. The education secretary lamented that Congress, which has largely shelved ''America 2000'' as inadequate or even harmful, won't embrace the reform plan. Do you still believe that, and, if so, how is the President and Bill Clinton going to differentiate themselves on education? A: Well as I said, different people heard it different ways. The Christian Science Monitor said Alexander says education will be a battle ground in the fall so here's what I think about that. I think it's up to the President of the United States to set his agenda and it's up to the Democratic nominee to set his agenda and they will. You and other reporters will see the differences. I think, when I might have tried to explain the different kinds of issues, priority issues and then divisive campaign issues, that got confusing. And the President will say: "Let's give middle- and low-income families more of the same choices of all schools that wealthy people already have," and the Democratic nominee will be under great pressure from the establishment and the business-as-usual crowd to say only choices of some schools. or, the President will say: "Let's take the Federal money and give teachers flexibility in every state, in every community." And the business-as- usual crowd will say: "We can't untie the teachers' hands in that way we have a lot of rules and regulations we've got on," and that will put pressure on the Democratic nominee. So I think the President's got an agenda and the Democratic nominee's got a problem. He's got the business-as-usual crowd for his supporters and we'll see what happens. -2- Q: This questioner says a recent Washington Post article criticized President Bush for being almost invisible on his education promises. It quoted numerous people saying that his interests appear totally political and that he had nowhere near the genuine interest exhibited by you, his Secretary of Education. The article had numerous examples of his apparent disinterest, including no personal lobbying on recent education spending bills in Congress. To quote a former Democratic Presidential candidate, "where's the beef?" A: Well, the beef is the first National Education Goals in history, 43 states and more than a thousand communities in AMERICA 2000, a nation moving toward World-Class Standards, break-the-mold New American Schools, a national examination system, flexibility for teachers, choices for students, and a Federal education budget that puts more new money into education than into any other department in this government in new discretionary dollars. The beef is a half-billion dollars for the break-the-mold schools, a half-billion dollars to give families choices, the largest increase in history for Head Start, the largest increase in history proposed for grants and loans to help students go to college. The beef is, yesterday offering every American a $25,000 line of credit for education and job training to be paid back out of earnings. There's plenty of beef, and the sooner members of the news media would report what the candidates propose and the merits of them and let the people worry about that instead of some of these side issues, I think the more people would know about it. I was with the President in Columbus, Ohio, for a day, a day, kicking off OHIO 2000. He got back into the car and he said a miracle happened. I said what? He said someone asked me a question about education. It's not on the front page, it's not at the top of the evening news. It's just the solution to most of what is at the top of the evening news and on the front page. And as people learn more about it in the campaign, they'll see he's not only not been invisible, he gives an enormous amount of time to it. I don't have a single complaint about the amount of time he spends on it, and I don't know of any Cabinet member on the domestic side anyway, who has easier access to him or who spends more time with him. Q: What is the strategy to bring African American students to the academic level of their counterparts in the public school system when state and local governments are cutting their education budget? A: The first strategy -- or first a correction. State and local governments overall aren't cutting their education budget. I know it seems like it because it hasn't been -3- going up as rapidly, but over the last four years education spending in the states is up 25 percent and in the Federal government it's up 41 percent. Now it's been a tough time because for two or three years we've been in a recession, that makes managing the money hard. But the first thing to do for African-American students or Hispanic students or any other students, a large number whom may be at risk, is to expect of them exactly what we expect of everybody else and then do everything we can to help them succeed. I like the Henry Levin Accelerated Schools, such as the Coghill Elementary School. in New Orleans, and there are many others. It's called accelerated because they slow no one down; they just speed everybody up who's behind. They do not accept, for a minute, that a child cannot learn and they succeed in that goal. Now it takes extra effort, it might take a longer school day, it may take more volunteers, it may take parents who get more involved, it may take foster grandparents, it may take turning off the television, it may take a lot of things; but any community that wants to help at-risk children succeed can do that. It's just a matter of the community deciding to do that. That's all it takes. The children can learn, and it is a grave disservice to African-Americans or anyone else to say, well, all of you who can learn come up here to the front and all of you who are African-American go over here because we assume you won't be able to learn as well. We've done that in our history. We should not do it anymore. If a conventional loan, or bank loan guaranteed by the SBA is required, the veteran needs to be aware of the fact that he/she will still need to have a clean credit history and reasonable collateral. If the veteran does not have enough money to purchase a franchise he/she may need to obtain a conventional loan from a bank or other key lender. The veteran goes to the Key Lender who will discuss financing with him and provide a loan application for a regular commercial loan. The lender may direct the veteran to a CPA or "loan packager- to assist him in completing the loan application, business plan and forms. Loan packagers charge from $250.00 to $1,500.00 to provide these services. The SBA and its associated resources (S.C.O.R.E., S.B.D.C.) also can assist veterans in developing a business plan and loan application; however noither the SBA, S.C.O.R.E. or the S.B.D.C.'s can fill out SBA loan application forms for the veteran. some franchisors have in-house loan packagers that can provide assistance. If the applicant is a Vietnam ora veteran, or has a 30a or more compensable disability, and the veteran has been turned down by a bank for a commercial loan and the SBA for a guaranteed loan (for other than credit reasons) the SBA does have the limited resources to make a direct loan, (ceiling of $150,000.00). APPROVE 4123 DISAPPROVE COMMENTS: --DRAFT GAG RULE/ABORTION-- BW/SMG sg Dear: On behalf of President Bush, thank you for your comments about issues relating to the subject of abortion and about the Title X family planning program. Title X was enacted as a Federal Government program to provide pre-pregnancy family planning services. Women who are pregnant require services that Title X cannot provide. Regulations were promulgated in 1988 that address the question of how to help women who, upon seeking services from a Title X funded project, discover that Title X funds cannot be used to treat pregnant women. The 1988 regulation requires that pregnant women be given a list of providers of services for the well-being of mother and child. Because the original Title X statute prohibits use of Title X funds for programs in which abortion is a method of family planning, providers whose primary business is abortion cannot be included in the referral list. Hospitals and other providers for whom abortion is only a part of their activity may be included in the referral list. No restrictions are placed on the content of the counseling that is received when a woman seeks the referral services. The Supreme Court has upheld the regulation. Some have sought to portray Title X regulations as a "gag rule" that interferes with the doctor/patient relationship. To dispel this misperception, President Bush issued a directive last year to the Secretary of Health and Human Services. The President's directive makes clear that implementation of the regulation must preserve the confidentiality of the doctor/patient relationship and that nothing is to prevent a physician from giving a pregnant woman complete medical information about her condition. Officials who administer the Title X program have issued instructions to clinics that receive funds from this program asking them to comply with the rule. It is the same rule that was promulgated in 1988. Complying with the rule, as it is written -- as opposed to what some have represented the rule to be -- will assure the highest standard of care in the Title X program. I assure you that the President cares deeply about you and others who are unemployed because of the slow-growing economy. He has made it a point to listen to those who are having hard times. The President understands and he is very concerned, that many hardworking people are worried about their future. He is determined that there will be change -- and, equally important, the right kind of change -- to ensure that our economy is back on track and moving forward again. President Bush is taking action in two key areas to help unemployed Americans. First, he has proposed numerous initiatives to Congress to spur our economy and to encourage sustained economic growth so that there will be jobs and opportunities for all our people. Second, he has directed Secretary of Labor Lynn Martin to work with Congress to develop and to pass legislation that will extend the emergency unemployment compensation program through the end of this year. The President believes that this can be done quickly -- without raising taxes or adding to the Iready huge Federal deficit. You may know that, twice within the last five months, President Bush has signed into law legislation that he had requested to provide emergency unemployment benefits. The President had made it clear that he would readily approve responsible additional unemployment benefits if he were presented with legislation that would not deter future economic growth and its associated job- creation by adding to the deficit. Instead, Congress initially sent to the President bills that would have added $6 billion to the deficit. President Bush refused to sign legislation that would have done further harm to the economy, and eventually Congress sent him responsible bills. Clearly, the single best answer to the problem of unemployment is economic growth, and the President believes that government policies that encourage job creation and opportunities will ensure a sound and economically healthy America. Yet the task of converting commonsense proposals into reality is difficult when there is a fundamental difference between the Democratic-controlled Congress and the President about how to solve America's problems. The President's proposals constantly face significant opposition from the Democratic leadership of Congress, whose frequent answer to problems is more taxes and more Federal spending. President Bush will keep pushing hard for legislation that will mean real help to unemployed workers such as you and to their families.
