I have reviewed the revised proposed waivers under 18 U.S.C.
$208 (b) (3) for members of the President's Council of Advisors on
Science and Technology (PCAST), which you forwarded to us on
February 2, 1990.
As we discussed, the enhanced justifications therein detail
the uniqueness of these individuals' qualifications. This
information further supports your position that the need for their
services outweighs any potential conflict.
Therefore, I reiterate my previous advice of January 31, 1990,
that it would not be an abuse of discretion for the Counsel to the
President to grant these proposed waivers.

conflict-of-interest waivers this week for the members of the
President's Council of Advisors on Science and Technology. The
waivers will use a new authority created in November's Ethics
Reform Act of 1989, allowing the appointing official to grant a
waiver to a member of an advisory committee when the "need for
the individual's services outweighs the potential for conflict of
interest." The Administration proposed this new authority based
on the Ethics Commission recommendations. (The Counsel to the
President has the delegated authority to grant waivers for
members of advisory committees created by executive order.)
My staff will be working with OSTP this week on finalizing the
waivers (per comments from the Office of Government Ethics) so
that they will be signed in time for PCAST to meet on Saturday.

Pursuant to the consultation requirement of Section 301 (d) of
Executive Order 12674, you have forwarded to us proposed waivers
under 18 U.S.C. $208 (b) (3) for members of the President's Council
of Advisors on Science and Technology (PCAST).
Section 208 (b) (3) permits the official responsible for
appointment of a special government employee to an advisory
committee to certify in writing, after reviewing an individual's
financial disclosure report, that the need for the individual's
services outweighs the potential for a conflict of interest under
18 U.S.C. $208 which might be created by that individual's
financial interests.
We have reviewed proposed waivers which you have forwarded
for the following individuals:

As I suggested to you in our phone conversation on this
subject, we conclude that it would not be an abuse of discretion
for the Counsel to the President, as the appointing official's

delegate, to grant these proposed waivers. The appointees'
qualifications and financial interests have been detailed in each
proposed waiver. While some of the appointees have substantial
financial interests which might not be appropriate for waiver under
other authority such as $208 (b) (1), the standard for granting
$208 (b) (3) waivers is that the need for their services outweighs
the potential for conflict.
To test against that standard, the proposed waivers indicate
that the functions of the PCAST are to advise the President on
matters of science and technology, to conduct a continuing review
and assessment of developments in the field, and to report thereon
to the President. We understand that the PCAST will not be called
upon to determine any particular controversies in which the legal
rights of specific parties are at stake, nor to deliberate on
measures that would be targeted to specific companies or industry
segments, though if such instances did arise, the members would
recuse themselves from participation, despite a $208 (b) (3) waiver.
Given this limited nature of the members' responsibilities, as well
as their outstanding qualifications, it appears that a decision to
grant the proposed waivers would be fully supported by the facts.
Pursuant to my request, you have agreed to provide us with
copies of enhanced justifications for some or all of the
appointees, in order to further detail the uniqueness of their
qualifications, which would lend additional support to your
position that the need for their services outweighs any potential
conflict. You should also provide us with copies of the actual
waiver grants, with the granting official's signature or initials,
as required by Section 301 (d) of Executive Order 12674.
