Purpose
Makes two technical changes in law with respect to the General
Federation of Women's Clubs, a federally chartered private
organization.

Discussion
The General Federation of Women's Clubs, which unites women's
clubs and other organizations in promoting educational,
industrial, philanthropic, literary, artistic and scientific
matters, received a Federal charter in 1901. Among other
things, the charter limits the value of corporate property
which the Federation may own to a specific amount. As a
result of increasing property values, the charter has had
to be amended several times to increase the amount.
S. 240 would delete the dollar limit in the charter, currently
$1,500,000, in view of this recurring problem.
In addition, the enrolled bill would add the Federation to the
list of private corporations contained in Public Law 88-504,
which are required to perform an annual audit and report that
audit to the Congress.
No executive branch agencies were asked to comment on this
legislation.

The Committee on the Judiciary, to which was referred the bill
(S. 240), to amend the Act entitled An Act granting a charter to the
General Federation of Women's Clubs," having considered the same,
reports favorably thereon without amendment and recommends that
the bill do pass.
PURPOSE
The purpose of the bill is to compensate for the changing value of
the three buildings of the General Federation of Women's Clubs. It
is necessary to again petition Congress for an amendment because of
the inflationary spiral; the value of the property has again exceeded
the amount designated by the charter.
In view of the fact that this seems to be recurring problem involving
the same properties, it has been proposed that the monetary figure be
deleted and that the real or personal property be determined by the
current market value therein.
STATEMENT
The General Federation of Women's Clubs is incorporated under a
special charter granted by the Congress of the United States March 3,
1901, and any amendment of that charter requires an Act of Congress.
Founded in 1890, the General Federation is the largest organiza-
tion of women in the world with a membership in excess of 10 million
members in thousands of clubs and associate organizations throughout
the United States and abroad.
The object of the General Federation is to bring into communication
and to unite the women's clubs and like organizations throughout the
world for the purpose of mutual benefit and for the promotion of their
common interest in educational, industrial, philanthropic, literary,

artistic, and scientific culture as interpreted and implemented by estab-
lished policy. Membership in the General Federation consists of wom-
en's clubs and organizations whose work and purpose are germane
to the objectives of the General Federation. Each application for mem-
bership must show that the organization requires no partisan political
test for membership, that it is not a secret society, and that it does not
tolerate, either by practice or teaching, any violation of State or
national laws.
The real and personal estate of the General Federation consists pri-
marily of three adjacent buildings in Washington, D.C. 1734 N Street
NW., purchased in 1922; 1738 N Street NW., purchased in 1951; and
1728 N Street NW., purchased in 1959. The main building at 1734 N
Street NW. is a handsome five-story residence originally built in
1875 by Admiral William Radford. The International President of
the General Federation lives in this building during her 2-year term of
office. The reception area has been the scene for entertainment of pro-
minent visitors as well as Government officials and Members of Con-
gress. This building also houses the office of the President where busi-
ness for the Federation is handled by a staff of 30 people under her
direction. These offices have spread to the two adjoining buildings.
The General Federation is petitioning Congress to amend the Act
entitled "An Act granting a charter to the General Federation of
Women's Clubs" approved March 3, 1901, as amended by an Act ap-
proyed April 28, 1904, as amended by an Act approved April 6, 1922,
as amended by an Act approved June 7, 1934.
The amendments were made necessary to compensate for the chang-
ing value of the three buildings of the General Federation set forth
above. It is necessary to again petition Congress for an amendment
because of the inflationary spiral; the value of the property has again
exceeded the amount designated by the charter.
In view, of the fact that this seems to be a recurring problem involv-
ing the same properties, it has been proposed that the monetary figure
be deleted and that the real or personal property be determined by the
current market value therein.
The Committee is of the opinion that this bill has a meritorious pur-
pose and accordingly recommends favorable consideration of S. 240
without amendment.

In compliance with subsection (4) of Rule XXIX of the Standing
Rules of the Senate, changes in existing law made by the bill, as re-
ported, are shown as follows (existing law proposed to be omitted is

"SEC, 2. That the said corporation is authorized to acquire, by devise,
bequest, or otherwise, hold, purchase, and convey such real and per-
sonal estate as shall or may be required for the purpose of its incor-
poration [not exceeding $1,500,000,] with authority in said corpora-
tion, should it be by it deemed necessary so to do, to mortgage or other-
wise encumber the real estate which it may hereafter own or acquire
and may give therefor such evidences of indebtedness as such corpora-
tion may decide upon."

The Committee on the Judiciary, to whom was referred the bill
(S. 240) to amend the Act entitled " An Act granting a charter to the
General Federation of Women's Clubs" having considered the same,
report favorably thereon with amendment and recommend that the
bill as amended do pass.
The amendment is as follows:

U.S.C. 1101) is amended by adding a new item 49, as follows:

PURPOSE
The purpose of the proposed legislation, as amended, is to delete
the existing monetary limit on the value of corporate property in the
incorporation statute of the General Federation of Women's Clubs SO
that its property will not be subject to such a limit.
The amended bill also provides that the General Federation of
Women's Clubs will be added to the list of private corporations estab-
lished under Federal law as contained in Public Law 88-504 so that
the corporation will be subject to the requirements of that law con-
cerning an annual audit and a report of that audit to the Congress.
STATEMENT
The General Federation of Women's Clubs is incorporated under

SEC. 2. The accounts of private corporations established under Fed-
eral law shall be audited annually in accordance with generally ac-
cepted auditing standards by independent certified public accountants
or independent licensed public accountants, certified or licensed by a
regulatory authority of a State or other political subdivision of the
United States. The audits shall be conducted at the place or places
where the accounts of the corporations are normally kept. All books,
accounts, financial records, reports, files, and all other papers, things,
or property belonging to or in use by the corporations and necessary
to facilitate the audits shall be made available to the person or persons
conducting the audits; and full facilities for verifying transactions
with the balances or securities held by depositories, fiscal agents, and
custodians shall be afforded to such person or persons.
SEC. 3. The report of each such independent audit shall be sub-
mitted to the Congress not later than six months following the close of
the fiscal year for which the audit was made. The report shall set
forth the scope of the audit and include such statements as are neces-
sary to present fairly the corporation's assets and liabilities, surplus
