Dear Rose Mary:
I found out recently (to my horror, I might add) that
the President is still technically a shareholder in the shell
company holding our lease here.
Accordingly, could you sneak the four French language
copies under his pen at some auspicious moment (an English
translation is also enclosed for his records so he will know
that he is not deeding the Louisiana Purchase back to France)
and return them to me at your convenience, so that we can
straighten out the record here. The President should initial
the first page in each case at "X" and sign on page 2 on the line
with his name. Please do not fill in any date.
I apologize for bothering you both with such trivia -
but it's the only way out!
With all best wishes for a very Merry Christmas and a
Happy New Year.

DEED
PROVIDING FOR A TRANSFER OF CAPITAL SHARES
The undersigned :
- Richard M. Nixon, residing at the White House, Washington D.C.
USA,
acting in his capacity as shareholder of the Société d'Etudes
et de Contrôle Juridiques, a limited liability company with a
capital of FF 10,000 having its head office at 12 rue de la
Paix, Paris 2e, France, Registry of Commerce N° 61 B 4730,
On the one hand,
as Richard S. Ritzel, residing at 23 Beechwood Road, Ho-Ho-Kus,
New Jersey 07423, USA,
On the other hand,
- Milton C. Rose, residing at 520 East 86th Street, New York,
New York 10028, USA
C) Randolph H.Guthrie, residing at 157 Lake Drive, Mountain
Lakes, New Jersey, USA,
- John H. Alexander, residing at 1 Beekman Place, New York,
New York 10022, USA,
acting in their capacity as sole members, with Mr. Richard
M. Nixon above, of said company,
Also on the other hand,
have received, in the following manner, a transfer of capital
shares :
1.00 Transfer of shares.
1.10 Mr. Richard M. Nixon hereby transfers and conveys under
the usual legal guarantees, to Mr. Richard S. Ritzel,
who agrees, the 25 shares of FF 100 each, numbered 51 to
75, owned by him in the Société d'Etudes et de Contrôle
Juridiques.
Mr. Richard S. Ritzel shall be the owner of the shares
transferred as from today and shall be the sole benefi-
ciary of the fraction of profits of the current fiscal
year distributed to such shares.
He shall be subrogated to all rights and legal obligations
attached to the shares transferred.
1.20 The present transfer is agreed upon and accepted for a
total consideration of FF 2,500 of which Mr. Richard S.
Ritzel has just paid the parity in US dollars to Mr.
Richard M. Nixon who acknowledges such payment and
gives release thereof.
1.30 All powers are given to the bearer of an original of
the presents for purposes of their notification to
the company.
1.40 For the purpose of determining the amount of registration
duties, Mr. Richard M. Nixon declares that the shares
transferred were assigned to him in compensation for his
contribution in cash.
1.50 Messrs. Milton C. Rose
Randolph H. Guthrie
John H. Alexander
undersigned, expressly accept Mr. Richard S. Ritzel as
new shareholder.
2.00 Amendment to the Statuts
2.10 As a consequence of this present transfer of shares,
the shareholders decide to modify article 6 paragraph
4 of the Statuts as follows :

25 shares numbered from 51 to 75
FF 2,500
All powers are given to the bearer of an original of the
presents for the purpose of effecting all publication
formalities.
