Ross Perot, President\nElectronic Data Systems Corporation\nExchange Bank Tower\nDallas, Texas\nDear Ross:\nWe are making some progress here on Foundation organizational\nmatters, and I wanted to bring you up-to-date on our activities.\nTaft Schreiber, Asa Call and I have been meeting regularly. We\nhave also followed-up on an initial contact made by Don Kendall\nwith the McKinsey and Company people. This has resulted in our\nhaving the assistance and counsel of their Los Angeles man, Jack\nVance, as well as Warren Cannon of their New York office. We\nare also fortunate in having enlisted the professional services\nof Tom Nickell, Planning Vice President of the University of\nSouthern California, as our Consultant.\nWe are presently in the process of drafting and refining ques-\ntionnaires and procedures so that when we make our trips to\nPresidential Libraries we will be prepared to make the most\neffective and productive approach. We are having another meeting\non this later this week, after which I would like to send you\ncopies of the results to date for your information and comment.\nIt is the consensus here that our first visit should be to Abilene.\nConsequently, we are making arrangements to arrive there on the\nevening of Monday, October 20th, and take the full day of Tuesday,\nOctober 21, and as much additional time as we may need for our\nsurvey of the Eisenhower Library and Museum complex.\nAs of now, coming from Los Angeles on a private plane, in addition\nto myself, will be Taft Schreiber, Tom Nickell, Glen Adamson of\nTom's staff, and Jack Vance of McKinsey. C. All of the Executive Trustees were\npresent, as listed below, and each has signed these Minutes thus\nconstituting a waiver of notice thereof and consent to the busi-\nness transacted:\nJohn D. Ehrlichman\nRobert H. Finch\nLeonard Garment\nH. R. Haldeman\nPatricia Reilly Hitt\nHerbert W. Kalmbach\nJohn N. Mitchell\nJohn D. Ehrlichman acted as temporary Chairman and\ncalled the meeting to order. As the first item of business,\nChairman Ehrlichman submitted to the Executive Trustees present\nfor their review and comment a form of proposed By-Laws of the\nFoundation, a copy of which is incorporated herein and attached\nhereto as \"Exhibit A\". Following a review of the By-Laws and\nafter a short period of comment, on motion duly made, seconded,\nput to vote and unanimously carried, the By-Laws were adopted\nas submitted.\nThe Chairman then indicated that the next order of\nbusiness was to be the election of officers. After a short\nperiod of discussion, on motion duly made and unanimously car-\nried, the following were elected to the office indicated oppo-\nsite their name:\nH. R. Kalmbach\nSecretary\nFollowing his election, Chairman Haldeman took the\nchair and stated that the matter of the election of nineteen (19)\nindividuals as members of the Foundation's Board of Trustees was\nthe next item of business to be considered. After a short period\nof discussion, on motion duly made, seconded, put to vote and\nunanimously carried, the following nineteen (19) individuals were\n9 3.\nelected Trustees of the Foundation (pursuant to Article V of the\nBy-Laws) :\nEarl C. The Articles of Incorporation filed with the\nSecretary of State of California on June 2, 1969, constitute\nthe basic charter or enabling document which created the\nFoundation. Article V creates a Board of seven Executive\nTrustees of the corporation who are tantamount to \"Directors\"\nas that term is used in normal corporate nomenclature. The\nauthority and duty to direct the affairs of the Foundation\nis vested in this board of Executive Trustees. Although the\nPresident was the motivating force in the creation of the\nFoundation, from a strictly legal standpoint, the Foundation\nwas \"created\" by the act of the seven Executive Trustees in\nsubscribing the original Articles of Incorporation. Hence,\nthe further organizational structure of the Foundation must\nstem from the acts and resolutions of this seven-man Board\nof Executive Trustees.\n2. The original Board of Executive Trustees shall\nhave held an organizational meeting of that Board as of\nJune 2, 1969 at Washington, D.C., pursuant to a written\nwaiver of notice executed by the seven. At that meeting,\nthe minutes will reflect the following action:\n(a) John D. Ehrlichman acts as temporary\nchairman.\n(b) Temporary chairman submits to the Board\nfor its review and adoption a form of proposed By-Laws of\nthe Foundation.\n(c) The proposed By-Laws are adopted. The\nBy-Laws provide that the Board of Executive Trustees shall\norganize itself by the election of a chairman, a vice-\nchairman and a secretary of the board.\n(d) The board thereupon organizes itself\nand elects the following officers of the board:\n5-1\n(1) H. Kalmbach, as Secretary of the\nBoard is authorized to execute a power of attorney appointing\nFrank De Marco, Jr. Esq. as attorney-in-fact for the Foundation\nto prepare and process the exemption applications.\n-2-\n5. 2.\n3. The By-Laws proposed are structured on the\nfollowing organizational lines:\n(a) The Board of seven Executive Trustees\nwas created by the original enabling document, the Articles\nof Incorporation. Vacancies on the Board of Executive\nTrustees are to be filled by majority vote of the remaining\nExecutive Trustees. (Article IV)\n(b) The Board of Executive Trustees nominates\nand elects outstanding individuals as members of the 20-man\nboard of trustees. Vacancies in the board of trustees however\narising are filled by majority vote of the Board of Executive\nTrustees. (Article V)\n(c) The seven Executive Trustees and the twenty\nauthorized trustees, together constitute the \"members of the\nFoundation\". Provision is made for the election of any number\nof \"honorary trustees\", as may be deemed proper or expedient\nas the years go by. Honorary trustees will be \"members of the\nFoundation\". It is this group of \"members of the Foundation\"\nthen, which shall gather for the annual meeting of \"The\nFoundation\". (Article IX)\n(d) To supervise the day-to-day and month-to-\nmonth operation of the Foundation and its instrumentalities,\nthe Foundation shall have four officers, a President, a Vice\nPresident, a Secretary and a Treasurer, who shall be members\nof the Foundation and in addition the Foundation shall have\nan Executive Director who may be an outside salaried employee,\npreferably a professional in the charitable fund-raising field.\n(e) The officers of the Foundation are elected\nby and serve at the pleasure of the Board of Executive Trustees.\n(f) The By-Laws authorize the creation of a\nstanding or permanent Executive Committee which shall be composed\nof the four named officers and the Executive Director. It is\nfelt that this Executive Committee will actually run the Foundation,\nsupervise its fund-raising activities and supervise the disburse-\nment of the Foundation's funds for its charitable purposes.\n(g) Unless advised otherwise, we are proceeding\non the theory that the following named persons have been\nselected to act as the officers of the Foundation:\n(1) Leonard K. Firestone - President\n(2) Taft Schreiber - Vice President\n(3) Asa V. Call - Secretary\n(4) Jack Drown - Treasurer\n-3-\n5-3.\n(5) NOTE: Some consideration should be\ngiven to creating a title for Mr. Call other\nthan Secretary, such as Chairman of the Executive\nCommittee or Executive Vice President, so that\nthe secretarial office could be filled by Herbert\nW. Kalmbach who could then act in a dual capacity,\nboth as secretary of the Board of Executive Trustees\nand as secretary of the Foundation. This would\npermit Kalmbach and myself to supervise the prepara-\ntion and execution of all documentation on behalf\nof the Foundation.\n(h) The By-Laws also authorize the establishment\nof a permanent finance committee and a permanent planning\nand development committee whose members are to be selected\nby the Board of Executive Trustees. This procedure puts the\nExecutive Committee a notch higher than the latter two\ncommittees by virtue of the fact that it has been created\nby, and its constituent members specified by, the By-Laws.\n(Article X) It is hoped that membership on the Executive\nCommittee will add a high degree of enthusiasm to the activi-\nties of its members and give them the feeling that they are\nindeed possessed of sufficient authority to pursue and\naccomplish the goals of the Foundation. It is also felt that\nthis insulates the Executive Trustees from the ordinary day-\nto-day activities of the Foundation although ultimate control\nrests in the seven Executive Trustees.\n4. The exemption application to the IRS has been\nprepared on the basis of the Foundation being constituted as\ngenerally set forth above. The regulations require a more\nparticular statement of the proposed activities of the Founda-\ntion than those general purpose clauses set forth in the\nArticles or By-Laws. Accordingly, to supplement the exemption\napplication we have adopted the general concept of the intent\nto create a Richard M. Nixon Center for Advanced Study which\nwill be built and operated somewhat in the fashion of the\nHerbert Hoover Institute at Stanford University. (Exhibit 10 (f)\nto Exemption Application) It is felt that this will qualify\nas a sufficient initial charitable purpose. Reservation is\nmade in the application, however, for the development of other\ncharitable purposes as years go by.\n5. Application for exemption under California law\nis proceeding along the same general lines as that outlined\nfor the IRS exemption. In addition, the Foundation must\nregister as a Charitable Trust under applicable provisions of\nthe California Government Code. Filing under this Act is\nrequired within six months after any part of the income or\nprincipal of the Foundation is authorized or required to be\napplied to charitable purposes. We will attend to this filing\nat the proper time.\n-4-\n5-4.\n6. The exemption applications are proceeding\non the theory that all persons connected therewith, as\nofficers or trustees, are acting without salary or other\ncompensation, and on the theory that the Trust has entered\ninto no contracts or agreements of any kind, has solicited\nno funds and has no assets.\n-5-\n5. 5."
