MEMORANDUM OF AN AGREEMENT made and entered into this day of September nineteen hundred and nineteen, by and between the RADIUM LUMINOUS MATERIAL CORPORA- TION, party of the first part, and SABIN A. VON SOCHOCKY, party of the second part, in consideration of the premises and of the sum of ONE DOLLAR to each of the parties hereto to the other in hand paid, the receipt whereof is hereby acknowledged, THIS AGREEMENT WITNESSETH AS FOLLOWS: FIRST: The party of the first part undertakes and agrees at its own cost and expense to procure a corpora- tion to be organized under the laws of the State of New York under the name of the RADIO CHEMICAL CORPORATION, the capital stock of which shall consist of one hundred shares of the par value of one hundred dollars each and the directors of which, for the first year, shall be the party hereto of the second part and Messrs. L. Bilstein and Arthur Roeder; the certificate of such corporation to provide that the directors need not be holders of shares of stock of the corporation. SECOND: The party of the second part undertakes and agrees to give to the corporation SO to be formed as aforesaid the exclusive benefit of any and all discoveries of medical and therapeutical preparations of every kind whatsoever made by him and to assign and convey to such corporation all formulas for the manufacture and production of such preparations. THIRD: In consideration of the undertaking and agreement in paragraph Second contained, the corporation SO to be formed as aforesaid is to issue to the party of the second part twenty shares of its capital stock. FOURTH: The parties hereto agree each to subscribe, within a year from the date of organization of such corpora- tion, for forty shares of its capital stock and to pay therefor $100.00 in cash for each share thereof. Such subscriptions and payments for such stock are to be made by the parties hereto in equal amounts from time to time at such times as may be required by the party of the second part. FIFTH: It is hereby further agreed that the corporation SO to be formed, as aforesaid, shall act as the exclusive agent of the party of the first part in the business of selling, leasing and marketing, for medical and thera- peutical uses and purposes, any and all radio-active or other products of the party of the first part, or the property thereof, suitable for and adapted to such uses and purposes, and that the business of such agency shall be conducted by the corporation to be formed, as aforesaid, solely in its own name but wholly for account of and at the sole cost, expense and risk of the party of the first part, subject, however, to such regulations, conditions and for such time as the Board of Directors of the corporation to be formed shall, from time to time, prescribe. Such regulations, conditions and time, so to be prescribed by such Board, as aforesaid, shall not, however, be for a longer term than one year, or the shorter term of office of such Board prescribing the same. IN WITNESS WHEREOF the party of the first part has caused these presents to be signed and its corporate seal to be hereunto affixed and the party of the second part has hereunto set his hand and seal the day and year first above written.
