Dr. von Sochocky made an extended state-
ment of the financial and operating condition of the
Corporation, stating that there existed a certain amount
of dissension be tween the officers of the Corporation,
and he demanded that he be appointed the General Manager
of the Corporation wi th full power to draft and present
plans for a specific division of authority be tween him-
self and Arthur Roeder, the Treasurer of the Corporation,
and that full authority be conferred upon him to conduct
the business of the Corporation.
Dr. von Sochocky then moved that he be appoint-
ed the General Manager of the Corporation with full au-
thority to define the powers and duties of all the officers
employed by the Corporation, and that he be authorized
to take charge of the liquidation of the assets of the
Corporation. The Board of Directors considered the motion
and agreed with Dr. von Sochocky that the assets of the
Corporation should be brought into a more liquid condition.
After a general discussion of Dr. von Sochocky's motion, it
was decided not to take action thereon at the present time.
The following resolution was on motion duly
